계약서 번역(한국어 원본)제 6 조 (경영권의 이전)
① 상호간의 협의에 의하여 실질적인 회사의 경영권은 계약일로부터 즉시 양수인에게 이전되며, 계약일로부터 발생되는 모든 경영손익은 양수인에게 귀속된다.
② 양도인은 계약일로부터 양수인이 지정한 자가 회사 대표로서의 임무를 수행할 수 있도록 최대한 협조하도록 한다.
③ 양수인의 원활한 회사 경영을 위하여 양도인은 인수 초기에 필요한 회사 운영자금을 양도인에게 대여하도록 하며, 양수인은 양도인에 대한 채무를 우선 변제하도록 노력한다.
④ 양도인은 본 계약이 체결됨과 동시에 회사인감, 은행예금통장 등 회사경영에 필요한 일체의 물건 및 자료를 양수인이 지정하는 자에게 인도한다.
⑤ 양수인은 인수 지분율 범위 내에서 관계 주주를 추가 등록할 수 있으며, 양도인은 양수인이 요구하는 시점에 0000 외 1명을 제외한 모든 관계 주주의 지분을 매수하여 명부에서 즉시 정리하여야 한다.
⑥ 양도인은 양수인 및 양수인이 지정하는 자가 이사 및 감사로 선임될 수 있도록 최대한 협력한다.
⑦ 상기사항 이외의 사항에 대해서는 양도인과 양수인간의 협의에 의해 결정한다. 제 7 조 (추가 발견채무에 대한 손해배상)
아래의 경우 양수인은 즉시 이를 양도인에게 통보하여야 하며, 양도인은 이에 대한 사실을 확인한 후 30일 이내에 그 손해를 배상하여야 한다.
1. 양수인이 회사의 경영권을 인수한 후, 실사과정 및 재무제표에서 발견되지 않은 부외부채가 추가 발견되거나, 또는 양도인이 고의, 중과실로 제시하지 않은 경영권 인수일 이전의 원인행위로 인한 우발채무가 확정된 경우
2. 양수인이 회사의 경영권을 인수한 후, 양도인의 경영권 인수일 이전의 행위로서 회사의 일상적 영업활동과 관련 없는 행위로 인해 각종 세금과 공과금이 회사에 추징되는 경우 |
계약서 번역(영어 번역본)Article 6 (Transfer of Management Control)
① The substantial management control of the Company shall be immediately transferred to Transferee from the date of signing hereof, through mutual consultation between the parties, and all of the operating profit and loss generating on the date of signing hereof and onward shall become vested in Transferee.
② Transferor shall provide cooperation to the fullest so that Transferee’s designee can execute his/her duties as representative of the Company, from the date of signing hereof and onward.
③ Transferor shall lend to Transferee such working capital as may be required at the early stage following Transferee’s take-over hereunder, in order to facilitate Transferee’s management of the Company, and Transferee shall make its efforts to meet such liabilities to Transferor with the first priority over other liabilities.
④ Simultaneously with the signing hereof, Transferor shall deliver to Transferee’s designee any and all things and materials that may be required to manage the Company, including but not limited to the Company’s official seal and savings deposit passbooks.
⑤ Transferee shall be entitled to register any additional affiliated shareholders within the ratio of shareholding acquired by it hereunder and Transferor shall purchase the shares held by all of its affiliated shareholders, except 0000 and another person, at the time when Transferee requests so, and shall immediately alter entry in the register of shareholders accordingly.
⑥ Transferor shall provide cooperation to the best of its ability so that Transferee and its designee(s) are able to be elected as director(s) and auditor(s).
⑦ Any matters other than the abovementioned ones shall be determined through mutual consultation between the parties. Article 7 (Damages to Liabilities Additionally Found)
Should any of the following events occur, Transferee shall immediately give notice to Transferor thereof and Transferor shall indemnify Transferee against the loss or damage suffered by Transferee as a result of it, within thirty (30) days of confirmation of such facts:
1. Following Transferee’s take-over of the management control of the Company, there are additionally found any unrecorded liabilities that have not been found in the course of due diligence and in financial statements, or any contingent liabilities are fixed as actual liabilities as a result of any attributable acts that have been committed prior to the date of take-over of the management control but not disclosed by Transferor willfully or by gross negligence.
2. Following Transferee’s take-over of the management control of the Company, taxes and duties are additionally assessed on the Company owing to the acts that have been committed by Transferor prior to the date of take-over of the management control and that are not related to the Company’s routine business activities. |
