1.4 “bioMérieux”: bioMérieux SA 및/또는 관계사
1.5 “정보 교류 문서”: 계약서의 이행과 관련해 bioMérieux가 이용 가능하도록 한 모든 문서 또는 수시로 배급업자에게 발행한 모든 문서
1.6 “통제”: 실제 통제의 구성 요소가 되는 의결권 및/또는 자본 지분의 오십 퍼센트 (50%) 이상을 직, 간접적으로 소유하고 있거나 또는 그러한 관계
1.7 “고객”: 실사용자 또는 재판매업자. 배급업자가 실사용자나 재판매업자 또는 양자 모두에게 판매할 수 있는 허가를 받은 경우, 프로필에 이를 명시한다.
1.8 “1회용 물품”: bioMérieux가 수시로 배급업자에게 발송하는 원가 목록에 기술되어 있는 바와 같이, 프로필에 기재되어 있는 종류에 적합한 해당 관련 부속품과 검사 키트, 진단 시약, 배지
1.9 “효력일”: (ⅰ) 본 계약서의 최종 서명일이나 또는 (ⅱ) 배급업자가 bioMérieux에게 최초로 주문한 날 중 빠른 날자
1.10 “실사용자”: 배급업자가 관여하는 사업과 관련이 없으며, 재판매하지 않고 자신이 사용하기 위해 제품을 취득하거나 서비스를 이용하는 사람
1.11 “독점”: 조항 6에 따라 지역에 제품을 공급하는 bioMérieux의 단독 배급업자

1.14 “정부 관리”: (ⅰ) 정부나 정부 소유의 기업, 조직, 주체 또는 부서나 관청, 기관 또는 국제 공공 기구의 공무원이나 관리 또는 직원 개인 및 직원 집단 (ⅱ) 정당이나 공무원 또는 관리 (ⅲ) 공직 후보자 (ⅳ) 정부나 정부 소유의 기업, 조직, 주체 또는 부서, 관청, 기관 또는 국제 공공 기구를 대신해 공식적인 자격을 행사하는 사람

1.16 “지적 재산권”: bioMérieux가 소유하고 있거나 bioMérieux에게 인가되었고, 등록이 되었거나 안 되었건, 전 세계적으로 bioMérieux가 개발하고 사용해왔거나 제품과 관련이 있는 bioMérieux의 특허권과 특허 출원, 제조방법, 노하우, 제조 기술, 저작권, 상표, 상호, 슬로건, 표지, 로고 및 기타 상표를 식별할 수 있는 상징
1.17 “OEM 계약”: bioMérieux가 제3자의 상표 (bioMérieux 상표가 아니라)로 제품을 재판매할 수 있도록 제3자에게 제품을 공급하지만 필요한 경우, 관련 제품의 기술 책자나 기타 요소에 그러한 제품의 제조업체로서 bioMérieux의 명의를 명시할 수 있는 것으로 간주되는 계약
1.18 “운영자” : 새로운 기술 설비를 설치하는데 필요한 모든 장비와 시약을 병원이나 대형 실험실 같은 특정 실사용자에게 제공하는 업무를 수행하는 턴키 운영자

공급계약서 번역(영어 번역본)1.1. “Agreement”: the Profile, this document (Frame Distribution Agreement), the Appendices, the Exhibits, the Transaction Documents and the Communications.
1.2. “Affiliates”: any corporation or other legal entity which Controls, is Controlled by or is under common Control with bioMérieux SA. The Affiliates of bioMérieux SA include, in particular, various companies manufacturing and marketing various types of Products.
1.3. “Anti-Bribery Legislations”: the applicable domestic anti-bribery legislation of any government, the U.S. Foreign Corrupt Practices Act (Title 15 of the U.S. Code § 78dd-2, “PCPA»), any applicable country legislation implementing the OECD Convention on Combating Bribery of Foreign Officials or, in the absence of any such implementing legislation, such OECD Convention itself, as amended from time to time.
1.4. “bioMérieux”: bioMérieux SA and/or any of its Affiliates.
1.5. “Communications”: all documentation issued from time to time to DISTRIBUTOR or made available by bioMérieux regarding the implementation of the Agreement.
1.6. “Control”: the direct or indirect ownership of more than fifty per cent (50 %) of voting rights and/or share capital or such other relationship which constitutes actual control.
1.7. “Customers”: is either an End User or a Remarketer. The Profile specifies if DISTRIBUTOR is approved to market to End Users or Remarketers, or both.
1.8. “Disposables”: the test kits, diagnostic reagents, media and the appropriate related accessories pertaining to the ranges listed in the Profile, as described in the Net Price List that shall be forwarded by bioMérieux to DISTRIBUTOR from time to time.
1.9. “Effective Date” : the earlier of (i) the last date of signature of this Agreement or (ii) the date upon which DISTRIBUTOR placed its first order for Products with bioMérieux.
1.10. “End User” : is anyone, who is not part of the enterprise of which DISTRIBUTOR is a part, who uses Services or acquires Products for its own use and not for resale.
1.11. “Exclusive” : sole distributor of bioMérieux for the Products in the Territory, subject to Article 6.
1.12. “Force Majeure” : causes or circumstances that could not be reasonably foreseen and are beyond the affected Party’s reasonable control, including war and/or continuance of war, foreign or domestic embargoes, fire, flood, explosions, civil disobedience, riots and acts of God.
1.13. “Global Partners” : third parties (companies, and non governmental organisations, governmental organisations, international institutions and other entities that purchase Products through a central purchasing agency) having entered a global distribution agreement into with bioMérieux for the distribution of the Products.
1.14. “Government Official” : individually and collectively, (i) any officer, official or employee of a government, government-owned corporation, organisation or entity, or any department, agency, or instrumentality thereof, or a public international organisation, or (ii) a political party or officer or official thereof, or (iii) any candidate for political office or (iv) any other person acting in an official capacity for or on behalf of any government, government-owned corporation, organisation or entity, or any department, agency, or instrumentality thereof, or a public international organisation.
1.15. “Instruments”: the systems (including their related integrated software, where applicable) and the appropriate related parts and accessories pertaining to the ranges listed in the Profile, as described in the Net Price List that shall be forwarded by bioMérieux to DISTRIBUTOR from time to time.
1.16. “Intellectual Property Rights” : bioMérieux’s patents and patent applications, formulas, know-how, manufacturing techniques, copyrights, trademarks, trade names, slogans, labels, logos and other trade-identifying symbols as are or have been developed and used by bioMérieux on or in connection with the Products anywhere in the world, whether registered or not and whether owned by or licensed to bioMérieux.
1.17. “OEM Agreements”: agreements for the supply of Products by bioMérieux to a third party for resale under that third party’s trademark (and not under a bioMérieux trademark) it being understood however that, where necessary, the name of bioMérieux as a manufacturer of such products may appear on the technical leaflet or other elements of the relevant products (for example: “manufactured by bioMérieux» or other equivalent mention).
1.18. “Operators”: turnkey operators whose business consists in providing certain end-users such as hospitals or large laboratories with all equipment and reagents necessary to set up a new technical installation.
1.19. “Party” or “Parties” : bioMérieux and/or DISTRIBUTOR. |
