WHEREAS, Customer wishes to engage Contractor to develop the Intelligent Transportation System (the “System”), supply, deliver and install hardware and software for the operation of the System, provide manuals and other documentations related to the operation and maintenance of the System and provide training to the Customer and other services, all as more particularly described in the Scope of Works attached to this Agreement (the “Works”), for the Project;
1. Supply of Equipment
1.1 General. The Contractor agrees to supply the Products and perform the Works in accordance with the terms and conditions of this Agreement.
1.2 Training. The terms and conditions of the training to be provided to the operating and maintenance personnel of Customer for the Project shall be described in Schedule 1.
1.3 Limited Scope of Works. For avoidance of doubt, Contractor shall not be responsible for supply of any products (software or hardware) or performance of services or works other than those as specifically set forth in Schedule 1(“Scope of Work”) hereto, it being understood that the procurement of all equipment, hardware, software or any other services or things that are required to correctly operate and maintain a fully functional System and provision of commercial services shall be the responsibility of Customer.
2. Customer’s Obligations / Representations and Warranties
2.1 Access to Site. Customer shall, at Customer’s expense, grant or cause to be granted to Contractor an unconditional right of access to, and possession of, the Site for the performance of the Works. The Site shall be equipped, by Customer at its own expenses, with any and all necessary facilities, including, but not limited to, telecommunication services, electricity, high speed internet services, heated accommodations, cable lines and a secured place to store the Materials, required for the performance of the Works. The Customer shall give Contractor a permission to access to Site not later than ten (10) business Days from the date of the receipt of Contractor’s written request for access to Site.
3. Contract Price
3.1 Contract Price. Customer under this contract shall make payment to the Contractor for execution of works and services for the delivery and installation The total contract amount is 1,5000000rubles.
4. Payment
Payment shall be paid by SWIFT system bank transfer.
1. Prepayment of 50%
2. 30% upon delivery of equipment to Abkhazia
3. 20% after the first test run of the system and confirm by the Repablic of Abkhazia
5. Taxes
The Contractor shall comply with all laws of the republic of Abkhazia to pay taxes.
6. Changes
6.1 Changes. Without invalidating this Agreement, Customer may, by issuance of a written order (each such order, a “Change Order”), (a) instruct Contractor to make certain changes to the Work, including any addition to, deletion from, suspension of or other modification to the quality, function or intent of the Work, and (b) adjust the Project Schedule or the sequence or timing of execution of the Work (all of the foregoing, “Changes”).
7. Government Risk Events
7.1 Government Risk Event Notice. If any Government Risk Event occurs, Contractor shall serve a notice (Government Risk Event Notice”) on Customer as soon as reasonably practicable after becoming aware of such Government Risk Event, and in any event within fifteen (15) business Days of the date upon which it becomes aware of the same, informing Customer of:
(a) the occurrence of the Government Risk Event;
(b) the extent to which the Contractor’s performance of its obligations has been, is being or will be so prevented, hindered or delayed as a result of such Government Risk Event; and
(c) the Contractor’s reasonable estimate of the length of time that may be necessary for the performance of the Works as a consequence of such Government Risk Event.
7.2 Remedies. In the event of a Government Risk Event,
(i) Contractor shall, to the extent that its failure to achieve the Final Completion by the Scheduled Final Completion Date is caused by such Government Risk Event, be relieved of any liability in respect of such failure;
(ii) the Scheduled Final Completion Date shall be deferred by a period of time equal to the period of unavoidable delay caused by the Government Risk Event; and
(iii) Contractor shall be entitled to a Change and adjustment to the Contract Price in accordance with Article 9 hereof.
7.3 Prolonged Delay Caused by Government Risk Event.
If, due to the Government Risk Events, the Scheduled Final Completion Date shall be deferred by a period of time in excess of ninety (60) calendar Days continuous following delivery of the Government Risk Event Notice, or one hundred and twenty (90) calendar days in aggregate during any period of three hundred and sixty (360) calendar days, Contractor shall be entitled to terminate this Agreement without incurring any liability thereby and Customer shall pay the Termination Charges. Such termination shall be effective immediately upon the delivery of written notice to Customer of Contractor’s intention to terminate this Agreement. |

2.1 현장 접근. 고객은 고객의 비용으로 계약자가 업무를 실행하는 현장에 접근하고 점유할 수 있는 무조건적 권리를 부여하여야 한다. 고객은 자신의 비용으로 업무를 실행하는데 필요한 안전한 자재 보관소, 케이블 라인, 난방이 되는 숙소, 고속 인터넷 서비스, 전기, 정보통신 서비스 등을 포함해 모든 필요한 시설을 현장에 설치하여야 한다. 고객은 현장 접근이 필요하다는 계약자의 서면 요청을 받은 날로부터 십 (10) 업무일 이내에 계약자가 현장에 접근할 수 있도록 허가하여야 한다.
3. 계약 가격
3.1 계약 가격. 본 계약서에 따라 고객은 계약자가 인도 및 설치에 관한 업무와 서비스를 실행하는데 필요한 비용을 지불하여야 한다. 총 계약 금액은 1,5000000 rubles이다.
4. 불입금
불입금은 SWITF시스템 은행 송금을 통해 지불하여야 한다.

5. 세금

6. 변경
6.1 변경. 본 계약을 무효화 하지 않는다면, 고객은 서면 주문 내역서 (각각의 그러한 주문 내역서, “주문 변경 내역서”)를 통해 (a) 계약자에게 업무의 목적이나 기능, 질을 변경하거나 보류, 삭제하는 것 등을 포함해 업무를 변경해 줄 것을 통고하고 (b) 업무 실행 시기나 순서 또는 프로젝트 스케줄을 조정할 수 있다 (전술한 모든 것 “변경”).
7. 정치적 위험
7.1 정치적 위험 통지. 정치적 위험이 발생하는 경우, 계약자는 그러한 정치적 위험을 인지한 후 합리적으로 가능한 신속하게 고객에게 이를 통지하여야 하며 (“정치적 위험 통지”), 어떠한 경우에도 다음의 사건을 알게 된 후 십오 (15) 업무일 이내에 고객에게 이를 통지하여야 한다.
(a) 정치적 위험 발생
(b) 계약자의 의무 실행이 그러한 정치적 위험의 결과로 인해 방해, 저지, 지연되고 있거나 그럴 것으로 예상되는 정도
(c) 계약자가 정치적 위험의 결과로 업무 실행에 필요한 기간을 합리적으로 산정한 결과
7.2 보상. 정치적 위험이 발생하는 경우,
(ⅰ) 계약자는 그러한 정치적 위험으로 인해 예정된 최종 완료일까지 최종 완료를 하지 못하는 범위 내에서 그러한 실패와 관련한 책임을 면할 수 있다.
(ⅱ) 예정된 최종 완료일은 정치적 위험에 의해 발생된 불가피한 지연 기간과 동일한 기간까지 연기하여야 한다.
(ⅲ) 계약자는 9조에 따라 계약 가격을 조정하고 변경할 권리를 자격을 갖는다.
7.3 정치적 위험에 의해 발생된 연장 지연.
정치적 위험으로 인해 예정된 최종 완료일을 정치적 위험 통지를 하고 육십 (60) 역일을 넘는 기간까지 또는 삼백육십 (360) 역일의 기간 동안 총 백이십 (90) 역일을 연기해야 하는 경우, 계약자는 어떠한 책임도 지지않고 본 계약을 종료할 자격을 가지며, 고객은 조기 종료 위약금을 지불하여야 한다. 그러한 종료는 본 계약을 종료하고자 하는 계약자의 계획을 고객에게 서면 통지하는 즉시 곧바로 효력을 갖는다. |
