과업 계약서 번역(한국어 원본)제 1 조 (과업수행기간)
“을”은 계약서에 명시된 과업기간동안 본 과업을 성실하게 소기의 목적에 위배됨이 없이 완료하여야 한다.
제 2 조 (과업내용)
1) “을”은 “갑”의 불가리아 태양광 발전소 건립 현장에 “갑”의 대리인으로 사업의 기술적 부분을 총괄하여 관리 감독할 전문 인력을 파견한다.
2) “을”은 “갑”의 대리인으로써 성실히 불가리아 태양광 발전소가 준공될 때까지 공사감독 및 현장 업무를 성실히 수행한다.
3) “을”의 대리인은 “갑”이 소유한 각 SPC와 계약한 EPC업체들을 관리하고, 해당 업체들이 각 발전소가 원활하게 가동될 수 있도록 승인된 설계대로 공사를 수행하고 있는지 성실히 감독한다.
4) “을”의 대리인은 “갑”을 대신하여 공사에서 발생하는 모든 변수에 대해서 각 EPC 업체와 협의하고, “갑”에게 옳은 방향을 제시하며, 협의를 거쳐서 각 EPC 업체에 해당 내용을 지시한다
5) “을”의 대리인은 불가리아 태양광 발전소 건설에 필요한 기술과 노하우를 최대한 활용하여 공정상에 발생할 수 있는 모든 위험을 사전에 방지하도록 최선을 다한다.
6) “을”의 대리인은 “갑”에게 공사 진행 상황을 매일 보고한다.
제 3 조 (계약변경)
“갑”의 사정에 따라 과업내용이 변경되는 경우 “을”은 “갑”으로 부터 변경통지를 받는 즉시 이에 따라 과업을 수행하여야 한다. “갑”은 이로부터 발생하는 계약금액, 용역기간, 기타관련 계약조건을 “을“과 협의 후, 조정하여 시행해야 한다.
제 4 조 (대금의 지급)
대금의 지불을 별도로 정한 경우 이외에는 “갑”이 인정하는 범위 내에서 지급한다.
1) 계약금 30 % (￦ 24,000,000) – 부가가치세별도 “갑‘은 계약 후 ”을“로부터 인보이스 접수 후 7일 이내에 현금 지급한다.
2) 1차 기성금 20 % (￦ 16,000,000) – 부가가치세별도 “갑”은 4월 30일까지 “을”로부터 인보이스 접수 후 7일 이내에 현금 지급한다.
3) 2차 기성금 30 % (￦ 24,000,000) – 부가가치세별도 “갑”은 5월 31일까지 “을”로부터 인보이스 접수 후 7일 이내에 현금 지급한다.
4) 3차 기성금 20 % (￦ 16,000,000) – 부가가치세별도 “갑”은 각 발전소 최종 준공 확인 후 “을”로부터 인보이스 접수 후 7일 이내에 현금 지급한다.
제 5 조 (과업수행의 정지)
“갑”은 다음 각호의 경우에 본 계약을 해지하거나 일부를 정지시킬 수 있다.
1) 정해진 날짜까지 과업에 착수하지 아니한 때
2) 과업수행이 극히 부진하여 기한까지 과업완성이 불가능하다고 판단될 때
3) “갑“이 인정할 수 없는 사유로 ”을“이 과업을 중단하였을 때
4) “갑” 또는 “을”이 계약을 위반하였을 때
제 6 조 (보안관리)
1) “을”은 본 과업의 내용에 대하여 필요한 보안조치를 하여야 한다.
2) “을”은 본 과업수행으로 얻어진 정보, 신기술등의 비밀을 외부에 누설하여서는 아 니되며, 보안유지의 책임을 진다.
제 7 조 (용역의 완료 및 검사)
1) “을”이 용역을 완료한 때에는 성과품을 “갑”에게 제출하여야 한다.
2) “갑”은 검사결과 “을”의 계약이행 내용의 일부 또는 전부가 계약조건에 위배되거나 결함이 있을 때에는 “을”에게 필요한 수정 또는 보완을 요구할 수 있다. |
과업 계약서 번역(영어 번역본)ARTICLE 1 (DURATION OF TASK PERFORMANCE)
“B” must faithfully complete this task without violating the intended purpose, during the task duration as stated in the agreement.
ARTICLE 2 (TASK CONTENTS)
1) “B” shall dispatch professional personnel who will supervise the technical aspect of the project as “A”‘s representative at “A”‘s Bulgaria Solar Power Plant Construction Site.
2) “B”, as “A”‘s representative, will faithfully supervise the construction and conduct on-site duties until the Bulgaria Solar Power Plant is completed.
3) “B”‘s representative shall manage the EPC companies that are contracted with each SPC owned by “A”, and shall faithfully supervise that those companies are performing the construction based on the authorized design so that each power plant can run effectively.
4) “B”‘s representative shall consult with each EPC companies on all variables that occur in the construction on behalf of “A”, provide correct directions to “A”, and give orders to each EPC company based on decisions made after going through discussion.
5) “B”‘s representative shall perform his best to prevent all procedural hazards that can occur, by fully applying skills and know-hows that are necessary for the Bulgaria Solar Power Plant Construction.
6) “B”‘s representative shall report construction progress to “A” on a daily basis.
ARTICLE 3 (CHANGES)
In case the task contents are changed due to “A”‘s circumstances, “B” must perform task based on the modification immediately after receiving change notification from “A”. After consulting with “B”, “A” must process adjustments to contract price, duration of service, and other relevant contractual terms that might occur from the change.
ARTICLE 4 (PAYMENT TERMS)
Unless Payment Terms are decided otherwise, the price will be delivered under the range approved by “A”.
1) Down Payment 30 % (￦ 24,000,000) – V.A.T Separate
After signing the contract, “A” shall deliver the payment within 7 days after registering the invoice from “B”.
2) 1st Completion Payment 20 % (￦ 16,000,000) – V.A.T Separate
Until April 30th, “A” shall deliver the payment within 7 days after registering the invoice from “B”.
3) 2nd Completion Payment 30 % (￦ 24,000,000) – V.A.T Separate
Until May 31st, “A” shall deliver the payment within 7 days after registering the invoice from “B”.
4) 3rd Completion Payment 20 % (￦ 16,000,000) – V.A.T Separate
After confirming the final completion of each power plant, “A” shall deliver the payment within 7 days after registering the invoice from “B”.
ARTICLE 5 (TERMINATION OF TASK PERFORMANCE)
“A” can cancel or partially terminate this Agreement based on the following conditions.
1) When task has not begun until designated date
2) When task performance is extremely stagnating such that the completion of the task until deadline is judged impossible
3) When “B” stops the task due to reasons that “A” cannot approve
4) When “A” or “B” violates the agreement
ARTICLE 6 (CONFIDENTIALITY MANAGEMENT)
1) “B” must make necessary confidentiality measures regarding the contents of this task.
2) “B” must not leak secrets such as information or new technology attained from performing this task, and shall assume responsibility for maintaining confidentiality.
ARTICLE 7 (COMPLETION AND INSPECTION OF SERVICE)
1) “B” must submit the result to “A” when completing the service.
2) After inspection, “A” can demand necessary modifications or complements to “B” if part or all of “B”‘s performance results violate contractual conditions.
ARTICLE 8 (MISCELLANEOUS)
This Agreement shall be effective from the date “A” and “B” sign this Agreement and will continue to be valid until both parties completely perform all contractual obligations.
To prove that this Agreement has been concluded, 2 copies of this Agreement will be made and “A” and “B” will keep 1 copy each. |
