PREAMBLE
Whereas, Doosan has long-term-experience, knowledge and patents in Heat Recovery Steam Generator (“HRSG”) including its auxiliary components, owning extensive intellectual property rights and valuable information that pertain to the design, engineering, manufacturing, assembly, test, installation, commissioning, use and service of such HRSG, (hereinafter referred as “Licensed Products”); and
Whereas, Sonelgaz and ENCC JV is interesting in utilizing the Doosan technology for HRSG and has asked Doosan to grant a license on such technology to Doosan; and
Whereas, Doosan is willing to grant such license and to render further the technology and technical documents and information, intellectual property rights for design, engineering, manufacturing, assembly, erection , installation, operating, maintaining and use of the licensed products; and
Whereas, Doosan is willing to assist Sonelgaz and ENCC JV (hereinafter referred as “HRSG Licensee”) in the realization and materialization of the said objectives and to render the Sonelgaz and ENCC JV during the lifetime of the license agreement
1) Technical Information and Technical Document for the Licensed Products as: – Factory Technical Information – Design, Engineering Technical Information – Product Technical Information – Erection, commissioning, testing, operation & maintenance Technical Information
2) Training
3) Supervision and Technical Assistance on design, engineering and manufacturing of the Licensed Products
DEFINITIONS
LICENSE PRODUCTS:
The term shall mean Heat Recovery Steam Generator(HRSG) of natural circulation, horizontal gas pass, top-supported, capacity from 100MW up to 290MW(matching GT Capacity), drum type and its components thereof along with the necessary auxiliaries, which will be manufactured under using of information and/or patents and which are used for power generation in power plant as defined in this proposal
COMPONENT :
The term shall mean parts (including spare parts) of the Licensed Products including, but not limited to finished parts
TECHNICAL INFORMATION :
The term shall means oral or recorded information with regard to Licensed Products such as:
Design, engineering Information used at present
Manufacturing Information used and available during the Agreement
Assembly, installation, commissioning and start-up Information used and available during the Agreement
Quality control, quality assurance and management Information used and available during the Agreement
Operation and maintenance Information used and available during the Agreement
Designing(In-house) software packages used and available during the Agreement
Data provided in connection with training, supervision and technical assistance
INTELLECTUAL PROPERTY RIGHTS :
Patent for invention, certificates of invention, models, design patents and the like, as well as application therefore, and copyrights, which can be used for design, engineering, manufacturing, operation and maintenance of the Licensed Products |

PREAMBULE
Considérant que, Doosan a une longue expérience, connaissance et dépose des brevets dans les Générateurs de Vapeur à Récupération de Chaleur (Heat Recovery Steam Generator, “HRSG”)) et ses composants auxiliaires, tout en possédant les droits de propriété intellectuelle et information précieuse qui s’appliquent à la conception, ingénierie, fabrication, montage, test, installation, mise en service, utilisation et service de l’HRSG dudit, (ci-après dénommés “Produits Concédés”); et
Considérant que, Sonelgaz et ENCC JV est intéressé à exploiter la technologie de Doosan pour HRSG et a demandé à Doosan de concéder une licence de la technologie ladite à Sonelgaz et ENCC JV; et
Considérant que, Doosan souhaite concéder la technologie ladite et porter assistance concernant la technologie, documents techniques, information, droits de propriété intellectuelle pour conception, ingénierie, fabrication, montage, érection, installation, fonctionnement, entretien et utilisation des Produits Concédés; et
Considérant que, Doosan souhaite aider Sonelgaz et ENCC JV (ci-après dénommé “Licencié d’HRSG”) à réaliser et à matérialiser les objectifs mentionnés ci-dessus et concéder à Sonelgaz et ENCC JV pendant la durée du contrat:
1) Informations Techniques et Documents Techniques pour les Produits Concédés : – Informations Techniques d’Usine – Informations Techniques de Conception et d’Ingénierie – Informations Techniques de Produits – Informations Techniques sur Erection, Mise en service, Essai, Fonctionnement et Entretien
2) Formation
3) Supervision et Assistance Technique sur la conception, ingénierie et fabrication des Produits Concédés
DEFINITIONS
PRODUITS CONCEDES:
Ce terme signifie le Générateur de Vapeur à Récupération de Chaleur (Heat Recovery Steam Generator, “HRSG”)) pour centrales combinées tel qu’il est défini dans la présente proposition: une installation avec ses équipements auxiliaires d’une capacité entre 100MW et 290MW (adaptée à la capacité de la turbine à gaz) du type circulation naturelle, passage de gaz horizontal, tambours et soutenu par le haut
COMPOSANT :
Ce terme signifie les parties (y compris les pièces de rechange) des Produits Concédés, y compris, mais sans s’y limiter, les pièces préfabriquées
INFORMATION TECHNIQUE :
Ce terme signifie l’information relative aux Produits Concédés, présentée sous forme orale, enregistrée ou autre tels que:
Information sur conception et ingénierie utilisée actuellement
Information sur fabrication utilisée et disponible durant la période de la Convention
Information sur montage, installation, mise en service et démarrage utilisée et disponible durant la période de la Convention
Information sur contrôle de qualité, assurance de qualité et gestion utilisée et disponible durant la période de la Convention
Information sur l’exploitation et l’entretien utilisée et disponible durant la période de la Convention
Progiciels de conception (propre à Doosan) utilisés et disponibles durant la période de la Convention
Données relatives à la formation, supervision et assistance technique
DROITS DE PROPRIETE INTELLECTUELLE :
Brevets d’invention, certificats d’auteur d’invention, modèles d’utilité, design patents ou similaires ainsi que l’application de ceux-ci et les droits d’auteur qui peuvent être exploités pour la conception, ingénierie, fabrication, exploitation des Produits concédés |
