Each Party agrees to indemnity and keep indemnified the other and their directors, officers and employees from and against all claims, demands, summonses, actions, suits, proceedings, judgments, orders or damages, costs, losses, expenses and liabilities of any nature whatsoever caused by or resulting from any breach of this Agreement and/or Individual Agreements, to the extent it is caused or contributed by the act, negligence or default of that Party.
8 TERMINATION
8.1 This Agreement may be terminated at any time:
(a) by the mutual written consent of the Parties; or
(b) by either Party in writing to the other without prior written notice:
(i) if a Party breaches any provision of this Agreement, and such breach is not remedied within seven (7) days of notice requiring remedy of the breach;
(ii) if a Party engages in serious misconduct or acts;
(iii) if a Party is liquidated or an administrator is appointed;
(iv) if a Party commits any act of dishonesty or fraud (whether or not connected with the performance of its duties hereunder); or
(v) if a Party ceases to trade for any reason whatsoever.
8.2 Upon termination of this Agreement under this clause, all payments shall still be made in accordance with the terms of this Agreement.
9 MISCELLANEOUS
9.1 Relationship Between the Parties
Nothing contained in this Agreement constitutes the relationship of partnership or employer and employee between the parties and it is the express intention of the parties that such relationships are denied.
9.2 Assignment
Neither the rights nor the obligations of either party under this Agreement may be assigned, transferred, or otherwise disposed of, in whole or in part, without the prior written consent of the other party.
9.3 Notice
Any notice, demand or other communication to be given or required to be made pursuant to this Agreement is to be in writing and is to be given by post, facsimile or hand to a party at the party’s address set out in this Agreement or at such other address or facsimile number as is notified in writing by one party to the other party.
9.4 Provisions Severable
If any provision of this Agreement is invalid, illegal or unenforceable in any respect the validity, legality and enforceability of the remaining provisions will not be affected and such invalid, illegal or unenforceable provision is to be severed from this Agreement.
9.5 Governing Law
This Agreement is governed by and construed in accordance with the laws of the State of New South Wales, Australia, and the parties irrevocably submit to the jurisdiction of the courts of that State.
9.6 Inconsistency with KAFTA
To the extent there is any inconsistency between the KAFTA and this Agreement, the KAFTA prevails.
9.7 Counterparts
This Agreement may be executed in more than one counterpart, each of which when executed by all the parties and delivered is deemed to be an original.
9.8 Force Majeure
The Parties shall not be liable for any delay or failure of performance of this Agreement and/or Individual Agreements when such delay or failure is due to force majeure such as fire, flood, strikes, labour troubles, riots, invasion, war, or any other cause beyond the control of the parties hereto.
9.9 Waiver
No delay or failure of any party in exercising any right, power or remedy hereunder shall operate as a waiver thereof, nor shall any single or partial exercise of any right, power, or remedy preclude other or further exercise thereof or the exercise of any other right, power or remedy.
9.10 Variation
No part of this Agreement may be amended or modified unless reduced to writing making specific reference to this Agreement and signed by the parties or their authorised representatives.
9.11 Arbitration
All questions, disputes or differences which arise between the parties with respect to this Agreement and/or its subject matters are to be referred to a single arbitrator in accordance with and subject to the provisions of the Commercial Arbitration Act 2010 (NSW) or any re-enactment or statutory modification of that law for the time being in force.
9.12 Entire Agreement
This Agreement sets out the entire agreement and understanding between the parties with respect to the subject matter of this Agreement and supersedes all prior agreements, understandings and representations. |

8 해지
8.1 본 계약은 언제든 해지할 수 있다:
(a) 당사자들의 상호 서면 동의에 따라; 또는
(b) 사전 서면 고지없이 어느 당사자가 상대방에게 서면으로:
(i) 당사자가 본 계약의 조항을 위반하고, 위반의 시정을 요구하는 고지 칠 (7) 일 이내에 그러한 위반이 시정되지 않은 경우;
(ii) 당사자가 심각한 부정 행위나 행동에 관여한 경우;
(iii) 당사자가 청산되거나 행정관이 임명된 경우;
(iv) 당사자가 사기나 부정 행위를 범한 경우 (직무 수행과의 관련 여부와 상관없이); 또는
(v) 당사자가 어떠한 이유에서든 거래를 중단하는 경우.
8.2 본 조항에 따라 본 계약이 해지되더라도 모든 지불금은 여전히 본 계약의 조항에 따라 지불해야 한다.
9 기타
9.1 당사자들 간의 관계
본 계약에 수록된 어떠한 것도 당사자들 간의 파트너십 또는 고용인과 피고용인의 관계를 구성하지 않으며 이는 그러한 관계를 부인하는 당사자들의 명시적인 의사이다.
9.2 양도
다른 당사자의 사전 서면 동의없이 본 계약 상의 어느 당사자의 권리나 의무는 전체 혹은 부분적으로 양도되거나 이전 또는 폐지될 수 없다.
9.3 고지
본 계약에 따라 행해지거나 제공되는 고지나 요청 또는 기타 커뮤니케이션은 서면으로 수행되고 우편이나 팩시밀리 또는 인편을 통해 본 계약서에 명시된 당사자의 주소나 또는 한 당사자가 다른 당사자에게 서면으로 고지한 다른 주소나 팩시밀리 번호로 당사자에게 제공되어야 한다.
9.4 일부 무효 조항
본 계약의 어느 조항이 어떤 사유에 의하여 무효로 되거나 부적법 또는 이행이 불가능하게 되는 경우에도 나머지 조항들의 효력, 적법성 및 이행 가능성은 침해되지 않으며 무효로 되거나 부적법 또는 이행이 불가능한 그러한 조항은 본 계약과 분리된다.
9.5 준거법
본 계약은 호주, 뉴사우스웨일스 주 법률의 적용을 받고 해석되며, 당사자들은 그 주의 법원을 관할 법원으로 한다.
9.6 KAFTA와의 불일치
KAFTA와 본 계약 간의 불일치가 존재하는 경우, KAFTA가 우선한다.
9.7 부본
본 계약은 복수의 부본으로 체결될 수 있으며, 모든 당사자들에 의해 체결되고 교부되면 각 부본은 정본으로 간주된다
9.8 불가항력
당사자들이 제어하지 못하는 화재, 홍수, 파업, 노동쟁의, 폭동, 침공, 전쟁 또는 기타 사유로 인해 본 계약 및/또는 개별 계약을 이행하지 못하거나 이행이 지연되는 경우 당사자들은 그러한 지연이나 불이행에 대해 책임을 지지 않는다
9.9 권리 포기
당사자가 권리나 권한 또는 구제 조치를 행사하지 못하거나 지연하는 경우 이는 권리의 포기로 간주되지 않으며, 권리나 권한 또는 구제 조치의 하나 혹은 부분적 행사가 해당 권리 등의 향후 행사를 배제하거나 다른 권리나 권한 또는 구제 조치의 행사를 배제하는 것은 아니다.
9.10 변경
본 계약에 대한 언급을 구체적으로 서면으로 작성하고 당사자들이나 그들을 대표할 권한이 있는 자가 서명을 하지 않는 한, 본 계약은 수정 또는 변경할 수 없다
9.11 중재
본 계약 및/또는 이의 주제들과 관련해 당사자들 간에 발생하는 모든 문제나 분쟁 또는 의견 차이는 상사중재법 2010 (NSW)의 조항이나 시행 중인 그 법률의 재제정 또는 법령 개정에 따라 단독 중재인에게 회부하고 그 법의 적용을 받는다
9.12 완전 합의
본 계약은 본 계약의 주제들에 관한 당사자들 간의 완전 합의와 이해를 구성하며 이전의 모든 합의, 이해, 진술을 대체한다. |
