Section 2: 마크의 소유권
2.1 라이선스 소유자는 000가 이 마크의 독점적인 소유자임을 인정하고 이와 관련된 모든 영업권도 인정한다. 라이선스 소유자는 본 계약에 따라 이 마크에 대한 어떠한 권리, 자격 또는 소유권도 취득하지 않는다. 라이선스 소유자가 이 마크를 사용하는 것과 관련된 영업권은 000에게만 독점적으로 이익이 되어야 하며 000는 이 마크를 신청하고 등록하기 위한 독점적인 권한을 갖는다.

2.2 라이선스 소유자는 본 계약 기간 동안 직접 또는 간접적으로라도 어떠한 이유에서건, 이 마크의 유효성, 소유권 또는 시행 가능성(모든 등록 사항 및 이와 관련된 진행 중인 신청 사항 및 기타 다른 권리 그리고 관습법상 권리 등 포함)에 대해 이의를 제기하거나 논쟁을 벌이지 않아야 하며, 직접 또는 간접적으로 이 마크와 관련된 영업권의 가치를 획득하려 하거나 그러한 영업권에 피해를 주려고 시도해서는 안 된다.

2.3 라이선스 소유자는 000의 서면 허락 없이는 000을 대신하여 또는 라이선스 소유자의 명의로 이 마크와 관련하여 소송을 제기하거나 어떠한 신청도 하여서는 안 된다. 000가 이 마크와 관련하여 어떠한 조치를 취할 경우, 라이선스 소유자는 000와 전적으로 협력하고 그러한 문서를 처리해야 하며, 000의 의견에 따라 필요하다고 보는 그러한 행위나 일들을, 000의 비용으로 행해야 한다.

SECTION 2: OWNERSHIP OF THE MARKS
2.1 Licensee acknowledges that 000 is the sole and exclusive owner of the Marks, and all the goodwill associated with same. Licensee acquires no right, title or interest in or to the Marks under this Agreement. Any and all goodwill associated with the Marks by Licensee’s use shall inure exclusively to the benefit of 000 and 000 shall have the sole right to apply for and to obtain registrations for any and all of the Marks.

2.2 Licensee shall not dispute or contest for any reason whatsoever, either directly or indirectly, during the term of this Agreement and thereafter, the validity, ownership or enforceability of the Marks, including without limitation all registrations and pending applications thereof and any other rights and common law rights therein, nor directly or indirectly attempt to acquire or damage the value of the goodwill associated with the Marks.

2.3 Licensee shall not institute any proceedings or file any applications with respect to the Marks either in its own name or on behalf of 000 without the express written permission of 000. In the event that 000 undertakes any action with respect to the Marks, Licensee shall fully cooperate with 000 and execute such documents, and do such acts and things as in the opinion of 000 are necessary, all at the expense of 000.
