1. Obligation의 미이행과 Payment 요구에 대하여
DAC : 우리는 2년 전 Action Plan의 이행이 어려워지자 불가피하게 법인분할을 결의했다. 이 분할은 구성원 전체의 Voting에 따라 이루어졌고 분할에 있어서 Darley 당신도 관여하고 인정했다. 그래서 우리는 법인의 분할을 BDO Obligations의 이행으로 이해해 왔다. 그런데 왜 그런 편지가 왔느냐?
S. D : 분할과 Voting에 대하여는 나도 다 알고 있고 이해한다. 그러나 이러한 사항은 BDO측으로선 DAC 내부사정일 뿐이므로 BDO측에서는 Termination을 검토할 것이라 한 것이다. 이번 서신은 Lawyer가 포함된 법률팀 의견을 들어 보내온 것으로 QAR을 이행하지 않은 경우에는 다른 Firm도 그렇게 해 왔다.
DAC : BDO의 동의하에 추진된 분할이므로 Payment는 부당하다고 생각한다.
S. D : Payment에 관한 사항은 나로서는 어떻게 얘기할 수 없다. 아름다운 이별에 대하여 노력하면 Payment 문제도 해결될 수 있을 것이라 생각한다. Martin 앞으로 답신을 해 주었으면 한다.
DAC : Letter에는 Response를 요구하는 문구가 없지 않느냐?
S. D : 그렇지만 분할에 대한 Action Plan을 Martin한테 제출한 적이 없으니 문서로 2013년 4월 이후의 경과와 내년 3월까지의 계획에 대하여 Action Plan 을 제출한 것이 좋겠다.
DAC : Action Plan을 마련해 보겠다.
2. 분할 추진에 S. D가 관여한 데 대하여
DAC : 2013년 4월 이후 Darley 당신이 적극 분할 추진에 관여하였으므로 우리는 BDO가 관여한 것으로 본다.
S. D : 나는 동의나 승인한 것이 아니고 관여한 것도 아니다.
DAC : 우리는 Darley 당신을 Martin의 대리인으로 알고 있는데 이원화와 분할에 관하여 Martin에게 보고했느냐?
S. D : 1주일에 한 번 이상 전화로 보고 하기 때문에 알고는 있다. 그러나 DAC가 공식적으로 Action Plan을 제출한 적이 없으니 지금이라도 제출했으면 좋겠다.
DAC : Martin 서신의 진정한 의미는 무엇인가?
S. D : 다음 조치를 알리는 서신이다. 의지를 가지고 Obligations를 지킬 수 있는 Willingness가 있느냐고 묻는 것은 의례적인 질문이다. Termination은 극히 예외적인 조치이기에 신중을 기한다.
DAC : 내년 3월이면 결별인데 의무를 이행하는 Part가 있고 할 수 없는 Part가 있는데 어떻게 해야 하는가? 그런데도 Monitoring 하겠다는데 그 의미가 무언가?
S. D : BDO Logo를 쓸 때까지는 의무를 이행해야 한다. Monitoring이란 용어는 요식행위에 해당하는 말이다.
3. QAR과 관련하여
DAC : 이번 QAR은 의도를 가지고 강도를 높인 것 같다.
S. D : Martin이 취임한 5년 전부터 Big4에 버금가는 수준의 QAR을 하고 있다.
BDO Club 정도의 생각을 가지면 안 된다는 방침이다.
DAC : QAR 보고서에 분할에 대한 얘기는 전혀 없다.
S. D : QAR 보고서는 통상 그렇게 쓴다.
4. 타법인 접촉과 관련하여
DAC : 분할과 관련하여 타법인을 접촉한 걸로 아는데 맞느냐?
S. D : 그간 Several firms를 접촉했고 내일도 김진호 대표와 한 군데를 만날 예정이 있다. 인디아도 그랬고 베트남도 그랬듯이 다음 파트너를 찾는 것이 내역할이다.
DAC : DAC의 대표와 상의 없이 만나고 하여 DAC의 Image 손상이 크다.
S. D : 향후에는 DAC의 Managing Partner와 상의하고 만나겠다. 얘기해 주어 고맙다.
DAC : 마지막으로 할 얘기는?
S. D : 서면으로 Action Plan을 제출해주기 바란다.
DAC : 분할에 관하여 Response할 것이고 Payment에 대하여 항의하는 내용을 적겠다.

1. Regarding the non-fulfillment of obligation and the request for payment
DAC : When it was difficult to implement the action plan 2 years ago, we unavoidably resolved the separation of firm. This separation was decided by voting of the entire members including you Darley who was involved in and admitted it. So, we have understood the separation as the fulfillment of BDO obligations. But why have we received such a letter?
S. D : I do know and understand both separation and voting, too. From the side of BDO, however, because this matter was merely DAC’s internal situation, BDO said that they would consider termination. The letter in question contains the opinions of the legal team including lawyers and other firms have done the same thing when QAR is not fulfilled.
DAC : I think that because this separation was made under BDO’s consent, payment is not fair.
S. D : For my part, I can’t help the matter for payment. If we make an effort for a beautiful separation, we could solve the payment issue, too. Please send a reply to Martin.
DAC : There is no wording to request a response in the letter, isn’t it?
S. D : No. However, because we have not submitted any action plan for separation to Martin, it would be better to submit an action plan to him regarding the progress after April, 2013 and the plan to next March.
DAC : We will prepare an action plan.
2. Regarding S.D’s involvement in the progress of separation
DAC : Because you Darley has actively involved in the separation since April, 2013, we understand that BDO has involved in this matter.
S. D : Neither did I agree with it or approve it nor involve in it.
DAC : We understand you Darley as Martin’s agent. Have you reported to Martin about dualization and separation?
S. D : As I give a report to him more than once a week by phone, he just knows about the matter. But DAC has not submitted any formal action plan. I want for DAC to submit such a plan to him even now.
DAC : What does Martin’s letter truly mean?
S. D : It is a letter which informs you of the next action. It is a courtesy question to ask do you have any willingness to fulfill your obligations. Because termination is an extremely exceptional action, we pay close attention.
DAC : Next March, we will split up. Some parts could fulfill their obligations but others couldn’t. What should we do? Notwithstanding this, you insist on keeping monitoring. What does it mean?
S. D : You must fulfill your obligations until you use the BDO logo. The term “Monitoring” is just a formality.
3. Regarding the QAR
DAC : It seems that this QAR is intensified on purpose.
S. D : We have performed the QAR second only to Big4 five years ago when Martin inaugurated. We hope that you don’t think of BDO as just a BDO club.
DAC : There is not a single word about separation on the QAR report.
S. D : QAR reports usually write like that.
4. Regarding the contact with other firms
DAC : As we know, you have contacted other firms regarding the separation. Right?
S. D : We have contact several firms and plan to meet a firm with Jin-Ho Kim tomorrow. As with India and Vietnam, it is my job to find our next partner.
DAC : The image of DAC was damaged considerably because you have met the representative of DAC without discussion.
S. D : I will meet the representative after discussion with DAC’s Managing Partner in the future. Thank you for telling me.
DAC : What is your last request?
S. D : Please submit a written action plan.
DAC : We will send a response regarding the separation and write our complaint about payment.
