1. The subject of the contract is the scope of works and services performed by the Contractor independently and with the involvement of subcontractor’s project (exploration) companies and consultants (individuals) throughout the design, construction, commissioning of facilities and development of design capacity.
2. Customer charges and the Contractor assume the implementation of primary and secondary works. Additional work is performed by the Contractor only with the written confirmation of the customer and paid in addition to the contract price specified in this contract.
3. The amount of information in the project documentation is determined by the Contractor in consultation with the customer, as well as taking into account existing rules and regulations on registration of the design documentation. Coordination with the customer signature is issued to a responsible representative at the approximate form (sample) design project documentation submitted by the Contractor.
II. Turnaround time
4. Start and end dates of their major works or stages are set in the calendar plan, which is an integral part of the contract. In the schedule indicates the dates the beginning and completion of the work, beyond which further extension of the contract impossible. The delay time which occurred through no fault of the Contractor (the fault of the Customer or organizations involved in the customer) give the Contractor a right to damages and to extend the term of the contract. The value of the loss is measured as loss of profits during the time equal to the term contract extension.
III. Price of work and payment terms
5. For major work done (milestone) in accordance with this contract the Contractor shall pay to the Customer 100 000 $ (one hundred thousand dollars USD)
6. Given the terms of this contract referred price is open and to be specified in case of changes in prices of materials, equipment, outsourcing and other costs, payment terms, the Contractor employees, as well as in the case of adoption of new laws, publishing decrees, regulations and other regulations governing the inflation process and the indexing of income.
The price of basic works on the design documentation specified supplemental agreement of the parties. Customer has the right not to accept the price change if the circumstances leading to its increase came after the expiry of the work is completed (step) on schedule.

10. Payment for work performed:

1. 50% after receiving invoice from the Customer
2. 30% after receiving a invoice from the Customer
3. 20% after receiving invoice from the Customer
Term of payment should be paid within 5 working days after receiving invoice.
10.2 Payment should be made for the following service:
1. Consulting service: transport, customs clearance.
2. Projection: installation of the system, schemes, cost estimation, labor service
3. Presentation: design, drawing up and preparation of presentation.
4. Translation services: translation of presentation, contracts, powers of attorney, information letters. |

1. 계약 대상은 설비 설계와 건조, 위탁 및 설계 역량 개발 일체에 대해 계약자가 독자적으로 실시하고 하도급 계약자의 프로젝트 (조사) 업체들과 컨설턴트 (개인들)들과 실시하는 업무 및 서비스 영역이다.
2. 고객은 주요 업무와 보조 업무를 위탁하고 계약자는 이의 이행을 맡는다. 추가 업무는 고객이 서면으로 확인을 하는 경우에 한해 계약자가 실시하며, 본 계약서에 명시된 계약 가격에 추가해 지불된다.
3. 프로젝트 문서의 정보량은 설계 문서 등록에 관한 기존의 규정 및 규제를 고려하고 고객과 상의해 계약자가 결정한다. 고객 서명이 있는 협조문은 계약자가 제출한 (표본) 설계 프로젝트 문서와 유사한 양식으로 책임자에게 발행한다.
Ⅱ. 소요 시간
4. 주요 업무나 단계를 시작하고 끝마치는 날짜는 달력 계획을 기준으로 설정하며, 이는 계약의 불가분한 부분이다. 스케줄에 계약을 연장할 수 없는 업무 시작일과 완료일을 기재한다. 계약자의 과실 이외의 과실(고객에 관련된 기관들이나 고객의 과실)로 인해 지연 시간이 발생하게 되면, 계약자는 계약 기간을 파기하고 연장할 권리를 갖는다. 손실 가치는 계약 기간 연장과 동일한 시간 동안의 손실 프로파일로 측정한다.
Ⅲ. 업무 대가 및 불입 조건
5. 본 계약서에 따라 실시된 주요 업무에 대해 계약자는 고객에게 100 000 $ (미화 십만 달러)를 지불한다.
6. 본 계약 조건에 따라 가격은 미확정(open)이며, 수입을 물가에 연동시키고 인플레이션 진행을 제어하는 법령과 규정 및 기타 규정이 공포되고, 새로운 법률이 채택되는 경우뿐 아니라 자재, 장비, 아웃소싱 및 기타 비용, 지불 조건, 계약자 고용인이 변경되는 경우 가격을 명시한다.
설계 문서에 대한 기본 업무 대가는 당사자들의 추가 계약서에 명시되어 있다. 가격 상승을 유도한 상황이 스케줄에 따라 업무 (단계)를 완료한 후 발생하였다면, 고객은 가격 변동을 허용하지 않을 권리를 갖는다.
7. 설계 문서에 대한 추가적인 업무 대가는 계약에 대한 추가 계약서를 통해 결정한다.
8. 고객은 본 계약서에 따라 실행된 기본 업무와 추가 업무에 대해 제안된 가격의 정당성을 입증해 줄 것을 계약자에게 요구할 권리를 갖는다.
9. (단계)에 대한 불입금은 계약자와 고객이 승인 행위로 간주되는 (단계)를 실행한 업무를 승인한 날 이후에 불입한다. 확정된 절차에 따라 고객은 첨부된 규정대로 실행자 계좌로 지불한다.
10. 실행된 업무에 대한 대가
10.1 불입금은 SWITF시스템 은행 송금을 통해 단계적으로 지불하여야 한다.
1. 고객의 송장을 수령한 후 50%
2. 고객의 송장을 수령한 후 30%
3. 고객의 송장을 수령한 후 20%,
불입금은 송장을 수령한 후 5 업무일 이내에 불입한다.
10.2 다음의 서비스에 대한 대가를 지불한다.
1. 자문 서비스: 교통, 통관 업무
2. 견적: 시스템 설치, 계획, 비용 산정, 노동 서비스
3. 프리젠테이션: 설계, 프로젠테이션 작성 및 준비
4. 번역 서비스: 프리젠테이션 번역, 계약서, 위임장, 정보 서신 |
