지적 재산권 번역(영어 원본)V/ INTELLECTUAL PROPERTY 2- Assignment to the ABC Group of all intellectual property rights on the designs developed by the SUPPLIER in connection with a research and/or development assigned by the ABC Group In the event that the SUPPLIER/SERVICE PROVIDER would be led to create and/or participate in product research and/or development (creation and/or adaptation of a model, development of a technical procedure, etc.) upon request and according to the instructions of the ABC Group, the SUPPLIER/SERVICE PROVIDER and the ABC Group agree henceforth, and without written agreement otherwise between the Parties, that one third of the price agreed for the completion of such mission shall include the exclusive transfer to the ABC Group of the results of this mission and particularly all related intellectual property rights. This transfer of intellectual property rights shall be made along with the completion of creations made through the relevant mission and shall include reproduction, representation and adaptation rights, which include manufacturing, commercialisation and communication rights and more generally the commercial use of these creations on the materials covered by this mission, directly or through any third party of its choice, throughout the whole world and for the corresponding legal duration of the protection of rights. This transfer shall also include the exclusive right of the ABC Group to carry out in its name and at its expense the possible filing as a trademark, design and model, patent (including priority claims), or any protection of intellectual and/or industrial property rights, of all or part of the creations made through this mission. In this respect, the SUPPLIER/SERVICE PROVIDER undertakes to sign, upon first request, all the necessary documents for their filing, registration, renewal and to confirm, through any confirmation deed, the exclusive transfer of these rights to the ABC Group. 3- Products ordered by the ABC Group from the SUPPLIER’s catalog In the event that the Products ordered by the ABC Group are from the SUPPLIER’s/SERVICE PROVIDER’s catalog, the ABC Group recognizes that it cannot claim any intellectual property rights on these Products which remain the full property of the SUPPLIER/SERVICE PROVIDER. The ABC Group may nevertheless seek from the SUPPLIER/SERVICE PROVIDER that it grants it the exclusivity of the manufacturing of these model(s) / drawing(s) / material(s) from the SUPPLIER’s/SERVICE PROVIDER’s catalog. In this case, if the SUPPLIER/SERVICE PROVIDER accepts this manufacturing exclusivity, the Parties shall agree in writing on the conditions of this exclusivity (including but not limited to, time and territory) and, where appropriate, the establishment of a right of pre-emption in the event of a transfer of rights attached to the product(s) concerned. 4- The SUPPLIER’s guarantee If the SUPPLIER/SERVICE PROVIDER must use, for the supply of all or part of the Products and/or Services ordered, a model, technique, any kind of procedure, software and/or more generally any creation, to which intellectual property rights may be or are attached, the SUPPLIER/SERVICE PROVIDER warrants that it has all the necessary intellectual property rights for the quiet use by the ABC Group of the Products/Services ordered. The SUPPLIER/SERVICE PROVIDER thus warrants the ABC Group against any claim and/or third party action which may arise in relation to intellectual property problems linked to the Products/Services ordered and undertakes in this respect to defend the ABC Group at its expense. |
