특약 번역(한국어 원본)제1조 (구매카드의 정의) 카드결제 시스템으로서 갑이 한국씨티은행의 구매카드 가맹점이 되고 을이 한국씨티은행의 구매카드회원이 됨으로써 을이 갑으로부터 매입한 상품대금을 한국씨티은행이 “을” 을 대신하여 갑에게 입금하고 한국씨티은행은 을로부터 일정기간이 경과한 후 상품대금을 을에게 청구하는 제도이다.
제2조 (계약기간) 본 특약기간은 갑과 을의 . . .자 대리점거래약정서의 기간과 동일하게 한다.
제3조(구매카드의 등록) 을은 갑과 제휴 된 한국씨티은행에 구매카드의 등록에 필요한 일정서류를 구비하여 갑에게 제출 하여야 하며 갑은 구비서류를 검토 후 한국씨티은행에 송부하여 구매카드가 등록되도록 하여야 한다.
제4조(구매카드의 발급) 구매카드의 발급은 한국씨티은행과의 거래가 전산방식에 의해 거래 됨 으로써 실제 카드의 발급은 하지 않기로 하되, 한국씨티은행에 구매카드의 등록이 됨과 동시에 구매카드가 발급 된 것으로 본다.
제5조(구매카드의 용도) 을은 구매카드를 갑의 제품구매 이외에 다른 용도로는 사용할 수 없다.
제6조(구매카드의 총 사용한도) 을이 사용할 수 있는 구매카드의 총 사용한도는 갑에게 제공한 담보가액 내에서 운용된다. 단, 연체내역 및 신용도에 따라 갑이 판단하여 사용한도는 하향조정 될 수 있다.
제7조(상품대금의 결제)
① 을이 갑으로부터 구입한 상품대금의 결제는 다음의 절차에 의한다.
1. 을이 갑에게 주문한 상품은 주문 다음날 을에게 배송(세금계산서 발행일)되며 갑은 배송당일 을에게 배송된 상품대금 중 수금 장려금 6%를 공제한 금액을 한국씨티은행에 청구한다.
2. 한국씨티은행은 갑의 청구가 있는 다음날, 일정수수료를 제외한 금액을 갑에게 입금한다.
3. 한국씨티은행은 갑의 세금계산서 발행일로부터 35일 후, 갑에게 지급한 상품대금을 을에게 청구한다.
4. 을은 한국씨티은행의 청구에 따라 결제 지정일(세금계산서 발행 35일 후)에 상품대금을 한국씨티은행에 입금하여야 한다.
5. 결제 지정 일에 입금되지 않은 구매카드대금의 연체이자는 년 17%로 한다.
6. 을의 구매카드대금의 연체(약정 결제 일로부터 1개월 이상 초과)로 인하여 한국씨티은행의 갑에 대한 상환청구가 있을 때에는 갑은 상환 청구된 금액에 수금장려금(6%)이 추가 된 금액을 을에게 재청구한다.
7. 갑이 제1항 6호에 따라 한국씨티은행 으로 부터 상환청구를 받은 금액 및 수금장려금을 을에게 재청구하는 경우 을은 즉시 갑에게 이를 지급하여야 한다. 이 경우 갑은 한국씨티은행 으로 하여금 위 상환청구금액과 관련한 을의 카드대금채무를 면제하도록 하여야 한다.
② 을이 갑으로부터 구매카드결제시스템특약에 의하여 물품을 구매한 경우 위 제1항 제4호에 의하여 상품대금을 한국씨티은행에 모두 입금하거나 같은 항 제6호에 의하여 갑이 재청구한 구매대금을 모두 지급한 때에 갑에 대한 물품대금 지급채무를 이행하는 것으로 본다.
제8조(할부결제)을은 갑으로부터 구매한 상품대금을 최고 3개월까지 할부 결제할 수 있다. 단, 할부결제의 요청은 주문과 동시에 “매입대금할부결제의뢰서”를 갑에게 접수 함으로서 가능하며 요청이 없는 때에는 할부결제는 없는 것으로 한다.
제9조(반품)갑은 을로부터 반품이 있을 때에는 반품만을 한국씨티은행에 마이너스 청구하지 않으며 정상매출이 발생하여 반품을 상계하고도 남음이 있을 때 매출대금을 청구한다.
제10조(판매장려금)을이 갑과 상호협의 된 판매목표 달성 시 지급하는 판매장려금은 현금지급을 원칙으로 한다.한국씨티은행에 상품대금의 연체가 있는 경우는 연체가 해결 될 때까지 지급을 보류한다. |
특약 번역(영어 번역본)Article 1 Definition of the Purchase Card
The purchase card is in the card payment system by the method that Party A is the member store of the purchase card of the City Bank Korea and Party B is a member of the purchase card of the City Bank Korea and that the City Bank Korea pays the prices of the products purchased by Party B from Party A to Party A instead of Party B and the City Bank Korea requests Party B to pay the prices of the products after elapse of certain period of time.
Article 2 Term of Agreement
The term of the special agreement shall be same with the term of the agent agreement concluded between Party A and Party B on _________ __, 20__.
Article 3 Registration of the Purchase Card
Party B shall submit Party A the designated documents that are required to register the purchase card in the City Bank Korea affiliated with Party A and Party A shall review the documents and shall send the documents to the City Bank Korea to register the purchase card.
Article 4 Issuance of the Purchase Card
The purchase card shall not be issued because the transactions with City Bank Korea shall be made using computers and, when the purchase card is registered in the City Bank Korea, the purchase card shall be deemed to be issued.
Article 5 Use of the Purchase Card
Party B shall not use the purchase card for the purpose other than purchase of the products of Party A.
Article 6 Limit of Use of the Purchase Card
The Party B shall use the purchase card within the amount of mortgage provided for Party A; however, the limit of use may be reduced by Party A depending upon the details of arrears and the level of credibility.
Article 7 Payment
7.1 Party B shall pay the prices of the products purchased from Party A according to below-stated procedure.
7.1.1 The products ordered by Party B to Party A shall be delivered on the next day (the date that the tax bill is issued) and Party A shall request the City Bank Korea to pay the price of delivered products deducting 6% of collection incentive from the price.
7.1.2 The City Bank Korea shall pay the amount calculated by deducting the designated commission to Party A on the next day of the request for payment.
7.1.3 The City Bank Korea shall request Party B to pay the price of the products, which was paid to Party A, 35 days after Party A’s issuance of the tax.
7.1.4 Party B shall pay the price of the products on the designated payment date (35 days after issuance of the tax bill) to meet the request made by the City Bank Korea.
7.1.5 In case of failure in payment on the designated payment date, yearly 17% of interest shall be applied.
7.1.6 In the event that the City Bank Korea requests Party A to repay the arrears of Party B (exceeding the agreed payment date by one month or more), Party A shall request Party B to pay the requested amount and collection incentive (6%).
7.1.7 In the event that Party A requests Party B to pay the amount requested by the City Bank Korea and collection incentive in accordance with 7.1.6, Party B shall immediately pay the money to Party A; where, Party A shall let the City Bank Korea deduct the card arrears related with aforesaid amount.
7.2 When Party B purchases the products from Party A by the Special Agreement on Purchase-Card Payment System, the liabilities of Party B to pay the price of the products shall be deemed to be fulfilled when Party B pays the entire price of the products to City Bank Korea in accordance with the provision of 7.1.4 or Party B pays the entire price of the products which was requested by Party A in accordance with the provision of 7.1.6.
Article 8 Installment Payment
Party B may pay the price of the products purchased from Party A on 3-month installment plan in maximum; installment payment shall be possible only when Party B submits a written request for installment payment of the price of the products to Party A at the time to place the order and, if no request is made for installment payment, the case shall be deemed to have no condition of installment payment.
Article 9 Return
In the event that Party B returns the products to Party A, deduction of the price of returned products shall not be requested to the City Korea Bank but shall be deducted from the price of sold products when such deduction is possible.
Article 10 Sales Incentive
The sales incentive to be given when the sales target established by Party A and Party B through discussion is accomplished shall be paid in cash, in principle; if any arrears of the price of the products exist in the City Bank Korea, the sales incentive shall not be given until the arrears disappear. |
