합작계약서 번역(한국어 원본)기 본 계 약 서
㈜(이하 ‘갑’이라 한다.)와 ㈜(이하 ‘을’이라 한다.) 및 ‘을’의 소속 연예인 (이하 ‘병’이라 한다.)은 스타 브랜드 상품 개발 및 해당 상품의 유통에 관하여 다음과 같이 계약을 체결 한다.
제 1 조 [목 적]
본 계약은 ‘병’의 이미지를 활용한 스타 브랜드 상품을 개발하고, 해당 상품의 쇼핑몰 개발(입점) 및 운영을 포함한 온/오프라인의 유통을 진행 함에 있어서, ‘갑’, ‘을’ 및 ‘병’ 상호간의 기본적인 권리∙의무 관계를 규정하고 상호 신의성실원칙에 입각하여 사업을 원활히 수행함을 목적으로 한다.
제 2 조 [용어의 정의]
1. ‘스타 브랜드 상품(이하 ‘브랜드 상품’이라 한다.)’ 이라 함은 ‘을’ 소속 연예인 ‘병’의 이름 및 가치를 사용하여 기획/제작 된 브랜드를 붙인 상품 또는 기존 브랜드 상품에 ‘을’ 소속 연예인 ‘병’을 광고 모델로 활용한 상품을 의미한다.
2. 본 계약에서 정의 된 용어의 적용 범위는 본 계약에 한하며, 정의 되지 않은 용어의 적용은 일반 관례에 따른다.
제 3 조 [공동사업의 범위]
본 계약상 공동사업의 범위는 다음 각호를 의미한다.
1. ‘브랜드 상품’ 개발
2. 해당 ‘브랜드 상품’의 유통을 위한 브랜드샵, 브랜드몰 의 개발(입점) 및 운영
3. 해당 ‘브랜드 상품’의 기타 국내외의 온/오프라인 유통
제 4 조 [업무 범위 및 역할 분담]
공동사업의 진행 및 기타 운영상의 필요에 의한 각자가 담당할 업무의 범위는 다음 각호를 의미하나 이에 한정하지 아니한다.
1. ‘갑’의 업무
(1) ‘갑’은 본 계약의 대상이 되는 공동사업에 대한 총괄 업무를 담당한다. 단, 관련 제반 사항은 사전에 ‘갑’과 ‘을’의 협의를 통해 정한다.
(2) ‘갑’은 ‘브랜드 상품’의 개발에 대한 기획 및 그에 수반하는 비용 투자를 담당한다. ‘갑’은 ‘브랜드’ 및 ‘브랜드 상품’의 시안과 견본을 사전에 ‘을’에게 제시하여 ‘을’과 협의 하도록 한다.
(3) ‘갑’은 ‘브랜드 상품’ 생산에 요구 되는 생산, 재고 관리 등의 생산관리 및 그에 수반하는 비용 투자를 담당한다. 단, ‘갑’은 ‘브랜드 상품’의 생산처, 생산방법 등에 대해 사전에 ‘을’과 협의 할 수 있다.
(4) ‘갑’은 ‘브랜드 상품’의 유통을 위해 요구 되는 ‘브랜드 샵’과 ‘브랜드몰’의 개발(운영 포함)운영을 위한 기타 온/오프라인 유통을 포함한 유통관리 및 그 수반하는 비용 투자를 담당한다.
(5) ‘갑’은 ‘브랜드 상품’에 대한 홍보(마케팅 포함) 업무 및 그에 수반하는 비용 투자를 담당한다. 단, ‘브랜드 상품’의 홍보(마케팅 포함)와 관련한 홍보물(프로모션 상품 포함)의 내용, 홍보매체, 홍보 방법, 관련 문구 등 제반 사항은 ‘갑’과 ‘을’이 사전 협의를 통해 정한다.
2. ‘을’의 업무
(1) ‘을’은 ‘브랜드 상품’ 개발에 대한 기획의 참여 등 지원 업무를 담당한다.
(2) ‘을’은 ‘브랜드 상품’ 홍보(마케팅 포함)물 제작 및 판매 활성화를 위한 컨셉 촬영 및 CF촬영, 현장 프로모션에 ‘병’을 참여하게 한다. 단, 상기 촬영의 일정 및 횟수 등 제반 사항은 사전에 ‘갑, 을 ,병’이 협의를 통해 정하도록 한다.(촬영의 횟수는 년 4회차)
(3) 위 (2) 참여시 상기 촬영의 일정 및 횟수 등 제반 사항은 사전에 ‘갑,을,병’이 협의를 통해 정하도록 결정한다. 단, 제반 사항이 결정된 후 특별한 사정이 있는 경우 ‘을과 병’이 서면 또는 이메일을 이용하여 참여일로부터 10일 이전에 ‘갑’에게 사정변경 요청한 경우에 한하여 ‘갑’의 동의를 얻어 ‘병’의 참여여부를 변경할 수 있다.
3. ‘병’의 업무
(1) ‘병’은 ‘브랜드 상품’ 홍보(마케팅 포함)물 제작 및 판매 활성화를 위한 컨셉 촬영 및 CF촬영, 현장 프로모션에 참여한다.
(2) 위 (1) 참여시 상기 촬영의 일정 및 횟수 등 제반 사항은 사전에 ‘갑,을,병’이 협의를 통해 정하도록 결정한다. 단, 제반 사항이 결정된 후 특별한 사정이 있는 경우 ‘을과 병’이 서면 또는 이메일을 이용하여 참여일로부터 10일 이전에 ‘갑’에게 사정변경 요청한 경우에 한하여 ‘갑’의 동의를 얻어 ‘병’의 참여여부를 변경할 수 있다. |

[Company A] (hereafter “A”), [Company B] (hereafter “B”) and the artist under ‘B’ (hereafter “C”) signed a contract relating to star brand product development and its distribution as following.
1. [Purpose]
The contract defines mutual rights and obligations between “A,” “B,” and “C” to operate business smoothly with the principle of mutual faith for the purpose of developing star brand products using “C”’s image and distributing on and offline that includes opening a store for the products.
2. [Definitions]
1. ‘Star brand product (hereafter “brand product”)’ means the branded products planned and produced using the name and value of the artist “C” under “B” or existing branded products advertised by “C” under “B.”
2. The terms defined in this contract are limited to this contract, and undefined terms are subject to general practice.
3. [The Extent of the Joint Enterprise]
The extent of the joint enterprise means the following:
1. Develop “brand products,”
2. Open and operate brand shop and brand mall for the “brand products,”
3. Distribute the “brand products” on and offline domestically and in overseas
4. [Business Extent and Role Sharing]
The extent of role sharing for operating the joint enterprise is as the following but not necessarily limited to the following.
1. Role of ‘A’
(1) ‘A’ shall be responsible for the overall management of the joint enterprise. However, related matters shall be determined in advance by conferring with “B.”
(2) ‘A’ is responsible for planning and making related investments for development of the “brand products.” “A” shall propose plans and samples of the “brand” and “brand products” to “B” in advance and must consult with “B.”
(3) ‘A’ is responsible for production management such as producing and managing inventory and related investments for producing “brand product.” However, “A” can consult with “B” regarding manufacturer, production method, etc in advance.
(4) “A” is responsible for distribution management including the on and offline distribution and for opening (including management) “brand shop” and “brand mall” required for distributing the “brand products” and making related investment costs.
(5) ‘A’ is responsible for promoting (including marketing) the “brand products” and making the related investment costs. However, the contents, promotional media, promotion method, promotional lines, and other related matters related to the promotion (including marketing) shall be determined through a prior agreement.
2. The Role of ‘B’
(1) ‘B’ is responsible for supporting the activities including participating in planning for the “brand products.”
(2) ‘B’ is to involve “C” with concept shooting, commercial shooting, and on-site promotion to create advertisements (including marketing) and to activate sales. However, matters such as shooting schedule and number of shootings shall be determined in advance through a prior agreement amongst “A, B, and C” (shooting takes place four times per year).
(3) When participating under the above clause 2-(2), matters including date and number of shootings should be determined through a prior agreement amongst “A, B, and C.” However, in special circumstances after the matters are determined, “C” can change participation with the consent of “A” only if “B and C” requested change to “A” at least 10 days before the participation dates in writing or by e-mail.
3. The Role of “C”
(1) “C” shall participate in concept shooting, commercial shooting, and on-site promotion to create advertisements (including marketing) and to promote sales.
(2) When participating under the above clause 3-(1), the matters including date and number of shootings shall be determined through a prior agreement. However, in special circumstances after the matters are determined, “C” can change participation with the consent of “A” only if “B and C” requested change to “A” at least 10 days before the participation dates in writing or by e-mail. |
