단, 비오메리으 는 실제 약품을 삼성병원으로 납품하고 태영약품으로 계산서를 발행하고 있습니다.
태영약품은 사업확장을 추구하던 중 금융여권의 악화로 인하여 갑작스런 유동성의 위기를 당하여 부득이하게 법적 회생절차를 밟게 되었습니다.
태영약품이 9.21일 기업회생 신청을 한 후 법원은 9.22일 이후 모든 태영약품의 채권, 채무, 부동산에 대한 가처분, 가압류에 등 담보권 실행 및 경매 절차를 금지하였습니다.(보전처분결정-강제집행 등의 포괄적 금지명령)
10.21일 법원은 화의개시 결정을 인가 하였고 제1차 관계인(채권단)집회가 2012.1.6일로 결정 되어 있는 상태입니다.
태영약품에 대하여 비오메리으를 포함한 모든시약 거래처는 무담보로 거래하고 있습니다.
이는 열약한 시약업체의 기존 관행이며 업체측도 담보를 거절하고 있습니다.
이점 때문에 비오메리으는 올해부터 위험을 줄이기 위하여 판매를 축소 하였고 일부품목을 다른 업체로 변경한 상태입니다.
약20여개 업체가 태영약품의 시약거래처 이며 예상 채권액은 20억원 입니다.
비오메리으는 태영약품에 대하여 7.8,9월분 물품판매대금을 회수하지 못한 상태 이며 총 금액은 93,250,188원 입니다.
이중 받을어음은 66,887,388원이며(7.8월매출분), 9월분 26,362,800원은 물품선납으로 계산서를 발행하지 않는 상태입니다.
회사는 10월 이후 삼성병원으로 납품되는 물품에 대하여는 직접 삼성병원 으로 계산서를 발행하고 있어 문제되지 않으나, 9월 납품 분에 대하여는 어떠한 조치도 취하지 못한 상황 입니다.
특히 태영약품의 회생신청 후 법원의 보전처분결정일(9.22일) 이후인 9월23일 납품분은 삼성병원으로 계산서를 발행할 수 있도록 계속 요구하고 있으나 삼성병원 의 공식 입장은 아직 얻지 못한 상태 입니다.
이 부분에 대하여 회사에서는 법리적인 자문을 구하여 다음과 같은 답변을 받은 상태입니다.

가. 9월분에 대해서 삼성병원과 아직까지도 원만한 해결이 안 되었다면, 태영약품 앞으로 거래명세서를 발행하여 이를 채권목록에 포함시키도록 요청할 필요가 있습니다.
나. 특히 2011.09.23일 삼성병원으로 납품한 물품에 대하여는 원칙적으로 태영약품이 9.22일 이후로는 법원의 허가를 득하고 거래를 하였어야 하나 법원을 허가를 받지않고 거래한 것으로 간주하여 회생채권에 포함시켜 회생절차에 의하여 받을 수 있습니다.
다. 7.8월 물품대금 채권은 당연히 태영약품 에서 법원에 채권 신고시 신고할 것으로 사료되며 이 부분은 회생채권으로 분류되어 법원에서 확정된 회생계획에 의거 변제 받게 됩니다.
향후 회사는 계속적으로 회생채권 결과를 주지하고 이와 비슷한 상황이 생기지 않도록 사전조치에 최선을 다하겠습니다. |

Taeyoung Pharmaceutics is a company designated through bidding to be in charge of material supply to Samsung hospitals (Seoul and Kangbuk).
Samsung hospitals receive most pharmaceutics through Taeyoung Pharmaceutics and receive bills from Taeyoung Pharmaceutics.
Actual supplier of pharmaceutics to Samsung hospitals is bioMerieux, who issues bills to Taeyoung Pharmaceutics.
While expanding its business, Taeyoung Pharmaceutics experienced crisis in liquidity due to deteriorating financial market and unavoidably entered legal regenerative process.
After Taeyoung Pharmaceutics filed for rehabilitation on September 21, the court has forbidden auction and execution of security right, including temporarily disposure and seizure of all bonds, debt, and realty of Taeyoung Pharmaceutics (comprehensive injunction of prohibition of attachment, enforcement, etc.)
The court has approved commencement of composition on October 21, and the first meeting for concerned parties (creditors) is scheduled on January 6, 2012.
All suppliers of reagent including bioMerieux are dealing with Taeyoung Pharmaceutics without security. This is an existing tradition unfavorable to reagent suppliers, but the suppliers themselves are refusing security.
Because of this reason, bioMerieux has reduced sales this year to decrease the risk and changed certain items to a different supplier.
About 20 companies are reagent supplier to Taeyoung Pharmaceutics, and the expected amount of bond is 2 billion KRW.
bioMerieux has not received payment for sales during July through September from Taeyoung Pharmaceutics, and the total amount to be collected is 93,250,188 KRW.
Of these, note to be received correspond to 66,887,388 KRW (for sales in July and August), and bill for 26,362,800 KRW for sales in September has not yet been issued as product is supplied first.
The company has directly issued bills to Samsung hospitals for products supplied since October, but no measures have been taken for products supplied in September.
Especially, suppliers have been constantly requested to directly issue bill to Samsung hospital for products supplied in September 23, which is after court decision for attachment (September 22) and application for regeneration by Taeyoung Pharmaceutics. However, Samsung hospitals have not yet given an official reply.
Regarding this issue, the company had requested legal advice and has received the following reply.
Response from the law firm
A. If agreement has not been reached regarding the sales in September with Samsung hospitals, there is a need to issue transaction statement towards Taeyoung Pharmaceutics and request that the statement be included in the list of bonds.
B. Especially, for products supplied to Samsung hospitals on September 23, 2011, Taeyoung Pharmaceutics can be assumed to have transacted without obtaining approval from court although it should in principle obtain approval of court for transactions after September 22. Therefore, payment for the products can be received through regenerative process by including the payment in the regenerative bond.
C. It is expected that Taeyoung Pharmaceutics would report bonds for payment of products supplied in July to the court, which would be classified as regenerative bond and settled according to regenerative plan determined at the court.
Our company will continue to monitor result of regenerative bond and do our best to prevent such problems arising in the future. |
