1. 협력분야
당사자는 다음과 같은 분야에 있어서 업무협력을 추진한다.

1) 알마티 근교에 건설 예정인 Golden City내의 경마장 및 부대시설의 건립 및 운영 관 련 제반 사업
2) “본 프로젝트”를 위한 Joint Venture Company 설립을 통한 공동사업
3) 당사자 간에 합의된 사업 분야

2. 협약 및 협약 기간
1) 본 협약의 유효기간은 체결일로부터 1년으로 한다. (단, 상호협의 하에 연장할 수 있다.)
2) 본 협약기간 동안 양당사자가 주축이 된 JVC 설립을 위한 계약 또는 별도의 법률적 효력이 있는 계약을 체결하기로 한다.
3) 본 협약기간 중 상호 협의가 되면 즉시 본 계약을 체결할 수 있다.

3. 역할의 분담
1) 가”의 역할
① 본 프로젝트 건립 및 운영에 필요한 자금 (규모 약 $7,000만불~$8,000만불 수준)
② 본 프로젝트 운영에 필요한 한국내 관련 기관 및 업체의 참여 주관 (한국마사회, 삼성 SDS 등)
2) “나”의 역할
① 본 프로젝트 건립을 위한 토지 제공 (약 100ha)
② 본 프로젝트 건립에 필요한 Infra 구축
③ 본 프로젝트 건립 및 운영을 위한 카자흐스탄 정부의 법률적 인.허가 완료
④ 본 프로젝트 건립 및 운영에 필요한 각종 정보 및 자료 제공

5. 일반 사항
1) “가”와 “나”는 성실하게 기업 윤리에 적합한 사업 운영을 하여, 상호간 기업 이미지 를 승화, 발전시키는 데 기여하여야 한다.
2) 본 협약서가 성립함을 증명하기 위하여 “가”와 “나”는 협약서 2부를 작성, 날인하여 각각 1부씩 보관한다.

1. Areas of Cooperation
Both parties shall promote cooperation in the following areas:

1) General matters related to the establishment and operation of the racetrack and its facilities within Golden City, which is to be constructed near Almaty
2) Joint business through the establishment of Joint Venture Company (JVC) for “the Project”
3) Other business arrangements as agreed between the both parties

2. MOU and Term of MOU
1) The term of this MOU is one (1) year from the date of execution. (However, the term may be extended by the mutual agreement of the both parties.)
2) During the term of this MOU, both parties shall enter into a contract or additional contract with legal efficacy for the establishment of Joint Venture Company (JVC) with the both parties being the principals of the company.
3) Such contract shall enter into force immediately when mutually agreed upon during the term of this MOU.

3. Division of Responsibilities
1) Responsibilities of ‘A’
① Cost and expenses for the establishment and operation of “the Project” (Approximately 70 million ~ 80 million USD)
② Supervision over the participation of related organizations and companies in Korea necessary for the operation of “the Project” (Korea Racing Authority, Samsung SDS, and etc.)
2) Responsibilities of “B”
① Land (building site) for the establishment of “the Project” (Approximately 100ha)
② Construction of infrastructure for the establishment of “the Project”
③ Completion of legal approvals and permits from the Kazakhstan government for the establishment and operation of “the Project”
④ Gathering of various information and data for the establishment and operation of “the Project”

5. General Provisions
1) “A” and “B” shall contribute to the sublimation and advancement of one another’s corporate image through business operations that satisfy their corporate ethics.
2) To certify the execution of this MOU, “A” and “B” shall prepare and seal two (2) MOU documents, one for each party to keep.

6. Confidentiality Obligations
The confidentiality obligations of the parties under this MOU shall remain in effect during the entire term of this MOU and for extra five (5) years upon the expiration of this MOU on all information including intelligent property rights and classified information acquired from one another in relation to this MOU.
