양해각서 번역(한국어 원본)2.1 이 MOU 체결일 이후의 가능한 한 빠른 시일에, 당사자들은 조정위원회 (the Steering Committee)와 프로젝트 팀 (the Project Teams)에 합의하고 이를 구성해야 한다. 조정위원회는 이 MOU의 시행을 관리하고 조정하며 (상호 협조 가능 분야에 있어서 우선순위 결정 문제 포함), 상호 협조 가능한 각 분야의 계획 및 구체적 사항에 대해 합의하고, 그 집행을 감독하는 책임을 맡게 된다. 프로젝트 팀은 MOU 이면의 겉으로 드러나지 않은 구체적인 사항을 조정하고 MOU 이행에 필요한 조율을 하는 것을 포함하여 MOU의 실제 이행에 대한 책임을 갖는다.
2.2 조정위원회와 프로젝트 팀의 구성원 및 업무 절차는 당사자간에 합의에 따라야 한다. 단 다음은 예외로 한다:
(i) 조정위원회는 각 당사자측의 고위 관계자 두 명씩으로 구성되어야 한다 (ATIC의 경우, 구성원에는 Executive Affairs Authority나 the Abu Dhabi Technology Development Committee 또는 the Abu Dhabi Education Council와 같은 아부다비 정부 기관에서 파견되는 대표나 지원인력이 포함될 수도 있다). 프로젝트 팀의 구성원들은 조정위원회가 결정한다. (ii) 조정위원회는 최소한 두 달에 한 번씩 만나야 한다; (iii) the Working Group (실무진)은 매 2개월 내지 3개월 마다 한 번씩 조정위원회에 보고를 해야 한다. (iv) 조정위원회는 프로젝트 팀이 업무를 감독하고 매 4개월 내지 6개월에 마다 한 번씩 자국의 해당 정부 관리에게 보고해야 한다. 2.3 조항 2.1 또는 2.2의 내용을 침해하지 않는 선에서, 조정위원회는 다음과 같은 책임을 맡아야 한다:
(a) 각 상호 협조 가능 분야들의 실현가능성에 대해 좀더 구체적으로 평가하고 분석하는 일.
(b) 당사자들이 (특히 위와 같은 일의 결과를 근거로) 합작 투자 관계를 형성하기로 합의하거나 기타 다른 유사한 관계를 형성하기로 합의한 경우, 그러한 합의의 조건을 정하는 계약서의 준비 업무.
2.4 조정위원회나 프로젝트 팀 또는 당사자 측의 대표 (조정위원회나 프로젝트 팀의 대표를 말함) 어느 누구도 사안을 막론하고 당사자측을 구속하는 권리가 없다.
2.5 두 당사자가 상호 협조 가능 분야에 관한 어떤 사안에 대해 합의를 한 경우, 두 당사자는 이 MOU의 목표를 달성하기 위해 각자의 대표와 네트워크를 이용할 수 있다. |
양해각서 번역(영어 번역본)2.1 As soon as reasonably practicable after the date of this MOU, the Parties shall agree and establish a steering committee (the Steering Committee) and project teams (the Project Teams). The Steering Committees will be responsible for managing and steering the implementation of this MOU, including prioritization of Potential Areas of Collaboration, agreeing on the design and specifics behind each, and looking after their execution. The Project Teams will be responsible for the actual implementation of the MOU, including defining and refining the specifics behind the MOU and doing the coordination required to implement the MOU.
2.2 The membership and working procedures of the Steering Committee and Project Teams shall be agreed by the Parties, save that initially (i) the Steering Committee shall be comprised of two senior officials from each of the Parties (in the case of ATIC, members may include representatives or support from other Government of Abu Dhabi entities, including the Executive Affairs Authority, the Abu Dhabi Technology Development Committee and/or the Abu Dhabi Education Council) and the membership of the Project Teams, in turn, shall be determined by the Steering Committee; (ii) the Steering Committee shall meet at least once every two months; (iii) the Working Groups shall report once every two to three months to the Steering Committee; (iv) the Steering Committee shall supervise the work of the Project Teams and report once every four to six months to the appropriate government officials within their respective governments; and (v) any decision of the Steering Committee may only be adopted by the unanimous consent of all the representatives of the Parties serving on the Steering Committee.
2.3 Without prejudice to the provisions of Clause 2.1 or 2.2 the Steering Committee shall initially be charged with:
(a) evaluating and analysing the feasibility of each of the Potential Areas of Collaboration in further detail;
(b) if the Parties agree (based, in particular, on the results of (a) above) to pursue a joint venture relationship or other similar partnership, the preparation of a binding contract or contracts that will set forth the terms and conditions of such agreements.
2.4 Neither the Steering Committee, the Project Teams, nor any representatives of any Party who are members of the Steering Committee or the Project Teams shall have any power to bind such Party with respect to any matter.
2.5 If the Parties come to agreement relating to any matter pertaining to the Potential Areas of Collaboration, the Parties will use their respective relationships and networks in order to achieve the objectives of this MOU. |
