1.01 Products” shall mean all products designed and produced by Natural Remedies. Net sales” shall mean the total net sales in U.S Dollars (exclusive of any sales taxes) of the Products as invoiced by Natural Remedies in the Territory (as hereinafter defined) to Distributor or by any other company or person empowered by Distributor for local distribution.
1.02 “Territory” shall mean Korea market.
1.03 “Trademarks” shall mean any Trademark belonging to Natural Remedies or to any affiliate, or any other trademark agreed between the Parties.
1.04 “Affiliate” shall mean, with respect to a given company, any company which owns or controls (directly or indirectly) at least fifty percent (50%) of the voting stock of such given company, or any other company, at least fifty percent (50%) of whose voting stock is owned or controlled (directly or indirectly) by such owning or controlling company or by the given company.
SECTION 2.00 : DISTRIBUTION RIGHTS
2.01 Subject to all the terms and conditions of this Agreement, Natural Remedies hereby grants to Distributor the right to import, promote, market, distribute and sell the Products in the Territory. Distributor commits itself in maintaining its commercial activities on the Products in the Territory.
2.02 Distributor shall sell the Products for its own account, at its own risk, to some customers he will select at prices as it may determine.
2.03 Distributor agrees to refrain, outside the Territory and with respect to the Products, from exporting or selling Existing Products, seeking customers, establishing any branch and/or maintaining distribution depots.
2.04 Distributor shall pass on to Natural Remedies any request originating from Customers whose registered head office or domicile is located outside the Territory.
2.05 In the Territory, Distributor shall not procure identical or similar Products from a manufacturer, supplier or seller other than Natural Remedies.
2.06 In the Territory, the Distributor will assist Natural Remedies in taking reasonable measures to insure that the exclusive proprietary interest of Natural Remedies in the products are protected. Reasonable protection would include requiring large fermentation facilities, submitting general bids for Products (or other covered proprietary fermentation products) to covenant not to transfer said products to non-related fermentation facilities or to other suppliers or manufacturers of fermentation supplies who might replicate and resell said proprietary Products. |

1.01 제품이란 Natural Remedies가 설계하고 제조한 모든 제품을 말한다. “Net sales(순 매출액)”란 미화로 환산한 제품의 순매출액(판매세 제외)으로서 Natural Remedies가 한국시장 내에서 배급자에게 보낸 송장 금액이나 배급자로부터 국내 배급 권한을 위임 받은 다른 기업이나 사람이 보낸 송장 금액을 말한다.
1.02 “지역(Territory)”은 한국 시장을 의미한다.
1.03 “상표”란 Natural Remedies나 계열사가 소유한 상표나 당사자(Parties)들 사이에 합의한 다른 상표를 의미한다.
1.04 “계열사(Affiliate)”란 어떤 회사(a given company)의 의결권주식 중 최소한 50%를 소유하거나 지배(직접 또는 간접적으로)한 회사 또는 이러한 소유 기업이나 지배 기업 또는 위에서 말한 어떤 회사(a given company)가 의결권 주식의 최소 50%를 소유하거나 지배하고 있는 회사를 말한다.
SECTION 2.00 : 배급권
2.01 이 계약서의 조항에 따라, Natural Remedies는 배급자에게 지역 내에서 제품을 수입, 홍보, 시판, 유통 및 판매할 수 있는 권한을 부여한다. 배급자는 이 지역 내에서 제품에 대하여 상업적인 행위를 지속적으로 수행해야 한다.
2.02 배급자는 직접 가격을 결정하고 자신의 계정으로 자신의 책임 하에 제품을 판매해야 한다.
2.03 배급자는 제품과 관련하여 한국 시장 이외의 지역에서 제품을 수출하거나 판매하는 행위, 고객을 발굴하는 행위, 지사를 설립하는 행위, 유통창고를 운영하는 행위를 하지 않기로 합의한다.
2.04 배급자는 본사가 한국시장 이외의 장소에 위치하거나 주소지가 한국 시장이외의 장소에 위치한 고객의 주문건은 Natural Remedies에게 이관한다.
2.05 배급자는 한국시장 내에서Natural Remedies이외의 제조업체나 공급자 또는 판매자로부터 동등한 제품이나 유사한 제품을 구매하지 말아야 한다.
2.06 배급자는 한국시장 내에서 Natural Remedies가 제품에 대한 Natural Remedies의 독점적인 이익을 보호하기 위해 적절한 조치를 취하는 것을 도와야 한다. 여기서 말하는 적절한 보호조치란 대형 발효 시설을 요구하는 것이나 관련 없는 발효시설이나 발효 관련 자재(fermentation supplies)를 공급하거나 제조하는 업체(제품을 복제하거나 재판매 할 수 있는 자를 말함)에게 제품을 넘기지 않겠다는 서약을 위해 일반적인 제품 입찰서(general bid for Products)(또는 그 밖의 독점 발효 제품)를 제출하는 것도 포함된다. |
