병원 합작투자 번역(영어 원본)1.4 The governance structure of the Joint Venture Company, including the structure and function of the board of directors of the Joint Venture Company and its committees and any consent rights of the Parties as shareholders of the Joint Venture Company, shall be negotiated in good faith by the Parties.
2.1 The Parties agree that the Abu Dhabi Medical Centre shall be developed on one of the plots owned by RRRRR at either the Rawdhat or Najmat Developments.
2.2 It is currently contemplated by the Parties that the Abu Dhabi Medical Centre will be developed in one of two ways (to be determined by the Parties as soon as reasonably practicable following the execution of this MOU), as follows:
a) RRRRR, as lessor, and the Joint Venture Company, as lessee, will enter into a long term lease of the ADMC Plot and the Joint Venture Company shall thereafter undertake the development of the Abu Dhabi Medical Centre (“Option 1”); or
b) RRRRR will undertake the development of the Abu Dhabi Medical Centre, on a build-to-suit basis, and thereafter enter into a long term lease with the Joint Venture Company of the building constituting the Abu Dhabi Medical Centre (“Option 2”).
2.3 The Parties shall discuss in good faith and on an arms-length basis the provision of the abovementioned long-term lease (“Lease Agreement”) taking into account the commercial terms of the Lease Agreement vis-à-vis similar lease agreements, the location of the ADMC Plot or building constituting the Abu Dhabi Medical Centre (as the case may be) and other pertinent factors.
2.4 The Parties further agree that should Option 1 above be selected, RRRRR shall be considered for the award of a development management contract for the construction of the Abu Dhabi Medical Centre (“Development Management Agreement”) on terms to be agreed between RRRRR and the Joint Venture Company, to be negotiated in good faith and on an arms-length basis, taking into account the commercial terms of the Development Management Agreement vis-à-vis similar development management agreements, the services to be offered by RRRRR and other pertinent factors.
3.1 The Parties agree that SNUH shall be the medical operator and manage the Abu Dhabi Medical Center pursuant to a hospital management contract (“Management Agreement”) with the Joint Venture Company, to be negotiated in good faith and on an arms-length basis between SNUH and the Joint Venture Company, taking into account the commercial terms of the Management Agreement vis-à-vis similar management agreements for analogous hospitals located in the Territory, the services to be offered by SNUH and other pertinent factors.
3.2 The Parties further agree that in consideration of SNUH entering into the Management Agreement and agreeing to manage the Abu Dhabi Medical Centre for no or nominal consideration, SNUH will be offered an equity stake in the Joint Venture Company for no or nominal consideration.
6.2 Subject to EEEEE matching the market price for the supply of medical equipment and supplies, EEEEE and the Joint Venture Company shall enter into a vendor financing agreement (the “Vendor Financing Agreement”) to be negotiated in good faith and on an arms-length basis between EEEEE and the Joint Venture Company, taking into account the commercial terms of the Vendor Financing Agreement vis-à-vis similar agreements for the supply of medical equipment and supplies, the services to be offered by EEEEE and other pertinent.
7.2 Any of the Parties may terminate discussions at any time. Notwithstanding any past, present or future written or oral indications of assent or indications of results of negotiation or agreement to some or all matters then under negotiation, it is agreed that no Party to the proposed transaction will be under any legal obligation unless and until the Definitive Agreements embodying the terms and conditions outlined in this MOU and other customary terms and conditions mutually agreeable to the Parties has been executed and delivered by all Parties intended to be bound.
7.4 No reliance, performance, change or loss of position, or other action or expectation now or hereafter made or incurred based upon any of the provisions contained herein, whether or not at the request or urging of the other party, shall be deemed to create any obligation or agreement of any type. |

2.4 당사자들은 상기 옵션1이 선택될 경우, RRRRR 에게 아부다비 메디컬 센터의 건설의 개발관리계약을 맡기는 방안을 검토하며, 개발관리계약의 조건은 RRRRR과 합작투자회사가 성실하고 독립적인 협의를 거쳐 결정한다. 이 과정에서 유사한 개발관리계약의 상업적 조건들, RRRRR이 제공할 서비스, 기타 관련 요인들을 감안하여 계약조건들을 결정한다는 데 동의한다.
3.1 당사자들은 SNUH가 의료운영자가 되고, 합작투자회사와의 병원경영계약에 따라서 메디컬 센터를 경영한다는 데 동의한다. 경영계약은 SNUH와 합작투자회사가 성실하고 독립적인 입장에서 논의를 하며, 영토 내의 유사한 병원들의 유사한 경영계약, SNUH가 제공할 서비스, 기타 관련요인들을 감안하여 결정한다.
3.2 당사자들은 또 SNUH가 경영계약을 체결하고 아부다비 메디컬 센터를 대가 없이 또는 명목적 착수금만 받고 경영하는 것에 동의한다는 점을 감안하여, SNUH에 합작투자회사의 지분을 무료 또는 명목적 착수금만 받고 제공한다는 데 동의한다.
6.2 EEEEE가 의료장비 및 보급품의 공급을 시장가격에 맞추는 것을 조건으로 EEEEE와 합작투자회사는 벤더 파이낸싱 계약을 체결한다. 벤더 파이낸싱 계약은 EEEEE와 합작투자회사가 성실하고 독립적인 입장에서 협의를 하며 의료장비 및 보급품 공급에 관한 유사한 계약의 상업적 조건과 EEEEE가 제공할 서비스, 기타 관련 요인을 감안하여 계약조건을 결정한다. 7.2 당사자들 중 어느 당사자라도 논의를 중단시킬 수 있다. 과거, 현재, 미래의 서면 또는 구두의 동의 시사 또는 협의의 결과에 관한 시사, 또는 협의 중인 모든 사안들에 대한 동의를 했다 하더라도, 현재 제시된 거래의 어떠한 당사자도 법적인 의무를 갖지 않는다는 점에 모든 당사자들이 동의한다. 단, 본 양해각서에서 개괄적으로 명시된 조건들과 그리고 당사자들이 동의하는 기타 관습적인 조건 들을 명시하는 확정계약서가 작성되고, 당사자들에게 전달되어 당사자들에게 확정계약이 구속력을 갖게 된 때에는 그렇지 아니하다.
7.4 향후 본 문서에 포함된 규정에 의거하여 발생하는 어떠한 의존관계, 이행사실, 지위의 변경 또는 상실, 기타의 행위 또는 예상 등은, 다른 당사자의 요청 또는 촉구에 의한 것인지를 불문하고, 어떠한 의무 또는 어떠한 형태의 계약을 발생시키는 것으로 해석되지 않는다. |
