토목건설 계약서 번역(한국어 원본)1.1 그 당사자들은 쿠웨이트에서 실시되는 모든 토목건설 분야 입찰참여 및 공사수행을 위하여 Joint Venture(이하 “JV”라 한다.)를 형성하고, JV의 구성원으로 스스로가 연관되어야 하며 그 project에 대한 입찰들을 공동으로 제출해야 하고, 그러한 입찰이 성공적으로 되어서 어떤 계약이 그 JV에 주어지게 될 경우에, 그 협력의 이행과 그 계약과 그 이면에 숨어있는 모든 일들을 실행하도록 그 employer는 그 계약의 조항 아래서 그 JV에 주게 될 것이다.
1.2 그 당사자들은 그 입찰의 준비에 대하여 상호 협력해야 하며, 그러한 입찰은 제출되어야 하고, 입찰을 따게 되면 그 계약은 실행되어야 한다. 그리고 그 JV의 이름으로 이행되어야 한다.
1.3 그리고, 쿠웨이트에서 생산되는 제품의 수출 및 쿠웨이트에서 필요한 제품의 수입 등을 수행하는 무역업무와, 쿠웨이트에서 소요되는 외국 인력의 조달 등의 업무는 양 당사자가 단계적으로 협의하여 구체화하기로 한다.
article 2. 당사자들 사이의 협력
2.1 ASC는 입찰과 관련한 쿠웨이트의 모든 정보를 수집하여 SUNGDO에게 제공하며, SUNGDO는 이 정보를 바탕으로 견적가격 및 공사 수행일정, 필요인력, 자재조달 등을 검토하여 최적의 입찰서를 작성하여야 한다. 양 당사자는, employer에게 최종입찰서를 제출하기 전에 양 당사자가 최종 입찰가격 및 제반 입찰조건을 합의하여 서명한 후에 제출하기로 한다.
2.2 그 당사자들은 그 employer에게 employer가 요구한대로 그리고 그 당사자들이 서면으로 상호 동의 한대로 그 형식에 맞추어야 하고, 또 그 조항과 조건들을 만족시키는 그 입찰서를 준비하고 제출해야한다. 그 employer에게 그 입찰서를 제출한 후에 그 당사자들은 연대적으로 그리고 엄격하게 그 provision에 의하여 의무를 다해야하며, 사전에 쓰여진 다른 승인 없이는 변경이 있어서는 안 되고, 마찬가지로 변경하려고 시도해서도 안 된다. 그 employer와 함께하는 모든 협상은 그 당사자들에 의해서 연대적으로 지휘되어야 한다.
2.3 그 당사자들에 의해 서면으로 별도 협의된 사항이 없으면 각 당사자들은 그 입찰 준비와 그 계약의 협상에 대하여 그 계약의 서명이 이루어지기 전까지 초래된 그에 대한 연구와 여행 경비들은 자체 부담해야 한다.
article 3. 참여 지분
그 JV(joint venture)에 그 당사자들의 참여는 다음과 같이 고정된다.
SUNGDO: 50%
ASC: 50%
article 4. 책임
4.1 양 당사자는 각자의 참여지분에 의하여 JV의 손실과 이익을 나누어야 한다.
4.2 그 당사자들은 그 은행들과, bonds, guarantees를 제공하는 다른 기관을 제외하고는, 그 project에 대하여 계약되어 있는 모든 제 3자 들과 그 employer에 대하여 연대적으로 엄격하게 책임이 있다.
4.3 article 3에서 착수한 그의 참여지분에 따라서 각 당사자는 그 입찰할 때 그 employer에 의해 요구되는 JV가 부담해야하는 bonds와 guarantees로 인해서 일어나는 비용과 모든 부채들을 부담해야 한다. 그러한 bonds와 guarantees는 그 입찰에 필요한 만큼 제공되어야 한다.
4.4 그러므로 필요로 하는 어떤 품질 보증 혹은 손해배상은 article 3에 정해진 그것의 참여지분의 비율로 자신의 비용으로 그 당사자들에 의해서 엄격하게 제공되어야 한다.
article 5. 관리, 감독과 JV의 통제
5.1 그 JV의 감독과 행정의 기관들은 아래와 같이 되어야 한다.
(1) the board of directors
(2) the leader
(3) the project management team
5.2 그 JV는 두 사람으로 구성하는 BOD(board of directors)에 의해서 운영될 것이며, 그 두 사람은 그들이 선택한 사람을 대신 임명할 수 있다. 그리고 그 JV는 그들이 원하면 그 협조자에 의해 도움을 받게 될 수도 있다. BOD의 결정들은 만장일치로 받아들여질 것이다. 교착 상황에 대한 결의안은 JV agreement내에 그 당사자들 사이에 승인되어야 한다.
5.3 SUNGDO 는 그 JV의 그 leader가 되어야 한다.
5.4 그 progect management team은 아래와 같이 구성된다.
(1) project manager는 SUNGDO에 의해 임명된다.
(2) 행정과 재무관리는 ASC에 의해 임명되며 부 project manager의 역할을 수행한다.
5.5 JV는 공사수행에 필요한 인력 중 기술인력은 SUNGDO에서 책임지고 조달하며, 지원인력은 ASC에서 조달한다. 따라서, 기술적인 업무 및 공사현장 업무는 SUNGDO에서 담당하며, 관리, 행정 등 사무실에서 주로 행해지는 지원사무 업무는 ASC에서 수행한다.
5.6 JV는 공사수행에 필요한 공정별 협력사 선정 및 발주를 하는 데, 이 업무는 SUNGDO에서 수행한다.
5.7 JV는 공사수행에 필요한 자재를 구매하는 데, 해외에서 수입되는 자재는 SUNGDO에서 담당하며, 쿠웨이트 국내에서 조달하는 자재는 ASC에서 구매를 담당한다.
5.8 JV는 기성금 수납 및 자재구매 대금과 직원급료 등 운영자금을 공동으로 관리한다. |
토목건설 계약서 번역(영어 번역본)1.1 The parties will form a Joint Venture(Referred to below as “JV”) to participate in all civil construction-related bidding and conduct construction in Kuwait. Each member of the JV must be personally involved and jointly submit bids for projects. If such bidding is successful and any contract is offered to the JV, the employer will provide the project to the JV to execute cooperation and conduct the contract and all operations that are implied, based on the conditions of the contract.
1.2 The parties must mutually cooperate to prepare and submit bids, and execute the contract under the name of the JV if the bidding is won.
1.3 In addition, regarding trading operations such as exporting products made in Kuwait and importing products needed in Kuwait, and procuring foreign work force required in Kuwait, both parties will refine details through phased agreements.
Article 2. Cooperation Between the Parties
2.1 ASC collects all bidding-related information in Kuwait and provides it to SUNGDO, and SUNGDO must review the estimated cost, construction schedule, necessary work force, logistic management based on this information and write an optimal bidding proposal. The final proposal will be submitted to the employer after both parties have agreed and signed the final bidding price and various bidding conditions.
2.2 The parties must prepare and submit a bid proposal that fits the format required by the employer and mutually agreed in writing by the parties, and satisfies the articles and conditions. After submitting the proposal to the employer, the parties must fulfill their duty by jointly and strictly making provision, making no modification without prior written permission, and also not even attempting to make modifications. All negotiations with the employer must be jointly directed by the parties.
2.3 Unless other conditions were agreed in written form by the parties, each party must personally pay for all costs in preparing for the bidding, research costs for contract negotiations up to the signing of the contract, and travel costs.
Article 3. Participation Equities
The participation of the parties in the JV(joint venture) are fixed as following.
SUNGDO: 50%
ASC: 50%
Article 4. Responsibilities
4.1 Both parties must divide the profits/losses of the JV, according to their respective participation equities.
4.2 The parties jointly have a strict responsibility to the banks, except for other institutions that provide bonds and guarantees, all third parties under a contract with the project, and the employer.
4.3 Based on the participation equities stated in Article 3, each party is responsible for all costs and liabilities that occur from bonds and guarantees that are demanded by the employer and that the JV must cover when bidding. Such bonds and guarantees must be provided as needed for the bidding.
4.4 Therefore, any necessary quality guarantee or damage compensation must be strictly provided by the parties based on the ratio of participation equites as defined in Article 3.
Article 5. Management, Supervision and Control of the JV
5.1 Personnels/Organizations for the supervision and administration of the JV are listed as following.
(1) The board of directors
(2) The leader
(3) The project management team
5.2 The JV will be managed by a two-person BOD(board of directors), and those two people may select and appoint another person in their position. Also, if they wish, the JV may be supported by assistants. The decisions of the BOD will be accepted unanimously. Resolutions of deadlock situations must be approved by the parties within the JV agreement.
5.3 SUNGDO is the leader of the JV.
5.4 The project management team is organized as following.
(1) The project manager is appointed by SUNGDO.
(2) Administration and financial management is appointed by ASC, and serves as deputy project manager.
5.5 Regarding the work force needed in construction execution, SUNGDO will be responsible for procuring technical manpower, and ASC will procure support personnel. Therefore, SUNGDO will take charge of technical and construction site tasks, while support operations mainly conducted in the office such as management and administration will be performed by ASC.
5.6 The JV selects partners and places orders for each process in the construction execution, and this duty shall be conducted by SUNGDO.
5.7 The JV purchases materials required for construction execution. SUNGDO is in charge of materials imported from overseas, and ASC is in charge of materials that are procured domestically in Kuwait.
5.8 The JV jointly manages operation funds such as interim payment receipts, materials purchase money, and employee salaries. |
